Pursuant to Regulation 30 of the SEBI (Listing Obligations & Disclosure Requirements) Regulations,
2015, we wish to inform you that Nomination & Remuneration Committee of the Company at its meeting
held on July 20, 2026 has approved the grant of 275 (Two Hundred Seventy-Five) stock options to eligible
employee of the Company under Bajaj Healthcare Limited Employee Stock Option Plan 2024 at an
exercise price of Rs. 5/- each.
The details as required to be furnished under Regulation 30 of SEBI (LODR) Regulation, 2015 read with
SEBI Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026 are enclosed
as “Annexure-I”.

an independent director; or
iii an employee as defined in sub
clauses (i) or (ii), of a Group Company
including Subsidiary Company or its
Associate Company, in India or outside India,
or of a Holding Company; but excludes
(a) an Employee who is a Promoter or
belongs to the Promoter Group;
(b) a Director who either by himself or
through his relatives or through any Body
Corporate, directly or indirectly, holds more
than 10% of the issued and subscribed
Shares of the Company; and
(c) an Independent Director
Requirement of vesting and period of
vesting:
The Stock Options granted to any Employee
shall vest within the Vesting Period in the
manner as set forth in the Grant Letter
subject to maximum period of 4 years from
the date of grant. There shall be a minimum
period of one year between the Grant of
Stock Options and Vesting of Stock Options.
Mode of Implementation:
The Scheme is proposed to be implemented
directly by the Company through the Board /
Nomination and Remuneration Committee.
Lock-in:
The Shares arising out of exercise of Vested
Options shall not be subject to any lock-in
period.
Provided that the Shares allotted on such
Exercise cannot be sold for such further
period or intermittently as required under the
terms of Code of Conduct for Prevention of
Insider Trading of the Company framed
under Securities and Exchange Board of
India (Prohibition of Insider Trading),
Regulations, 2015 as amended or replaced
from time to time or such other period as may
be stipulated from time to time in terms of
Company’s Insider Trading Code.
