There shall be a minimum period of one year between the Grant of Stock Options and Vesting of Stock Options. Mode of Implementation: The Scheme is proposed to be implemented directly by the Company through the Board / Nomination and Remuneration Committee. Lock-in: The Shares arising out of exercise of Vested Options shall not be subject to any lock-in period. Provided that the Shares allotted on such Exercise cannot be sold for such further period or intermittently as required under the terms of Code of Conduct for Prevention of Insider Trading of the Company framed under Securities and Exchange Board of India (Prohibition of Insider Trading), Regulations, 2015 as amended or replaced from time to time or such other period as may be stipulated from time to time in terms of Company’s Insider Trading Code. m) Subsequent changes or cancellation or Not Applicable at this stage exercise of such options n) Diluted earnings per share pursuant to Not Applicable at this stage issue of equity shares on exercise of options
