INDEPENDENT AUDITOR'S REVIEW REPORT ON THE QUARTERLY UNAUDITED
FINANCIAL RESULTS OF THE COMPANY PURSUANT TO THE REGULATION 33 OF SEBI
(LISTING OBLIGATIONS AND DISCLOSURE REQUIREMENTS) REGULATIONS, 2015, AS
AMENDED

1 The Hon’ble National Company Law Tribunal, Mumbai Bench (“NCLT”) admitted an
insolvency and bankruptcy petition filed by financial creditors against Quadrant Televentures
Limited (“the Company”) and appointed Resolution Professional (RP) who has been vested
with management of affairs and powers of the Board of Directors with direction to initiate
appropriate action contemplated with extant provisions of the Insolvency and Bankruptcy
Code, 2016 and other related rules.
2. We have reviewed the accompanying statement of Unaudited Financial Results (the
“Statement”) of the Company for the quarter ended June 30, 2026 attached herewith, being
submitted by the Company pursuant to the requirements of Regulation 33 of the SEBI
(Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended (the
“Listing Agreement”).
35 The Statement, which is the responsibility of the Company’s Management and reviewed &
taken on record by the RP of the Company on August 11, 2026, has been prepared in
accordance with the recognition and measurement principles laid down in the Indian
Accounting Standard 34 “Interim Financial Reporting” (‘Ind AS 34’), prescribed under Section
133 of the Companies Act, 2013 read with relevant rules issued thereunder and other
accounting principles generally accepted in India. Our responsibility is to express a
conclusion on the Statement based on our review.
4. We conducted our review of the Statement in accordance with the Standard on Review
Engagement (SRE) 2410, “Review of Interim Financial Information Performed by the
Independent Auditor of the Entity”, issued by the Institute of Chartered Accountants of India.
This Standard requires that we plan and perform the review to obtain moderate assurance as
to whether the Statement is free of material misstatement. A review is limited primarily to
inquiries of Company personnel and analytical procedures applied to financial data and thus

provides less assurance than an audit. We have not performed an audit and accordingly, we
do not express an audit opinion.
5. As stated in Note No. 2, 3 and 4 oft he Statement, the Company has incurred continuous losses
in the year, resulting in complete erosion of its net worth and its current liabilities exceed its
current assets and also default on the repayment of its borrowings. Further, Company is
currently undergoing Corporate Insolvency Resolution Process (CIRP) and multiple
litigations are pending before various courts and authorities. Consequent to these ongoing
uncertainties and pending legal outcomes, we were unable to obtain sufficient and
appropriate audit evidence regarding the appropriateness of management’s use of the going
concern basis of accounting in the preparation of these financial results. These factors
indicate a material uncertainty that may cast significant doubt on the Company’s ability to
continue as a going concern and, therefore, it may be unable to realize its assets and
discharge its liabilities in the normal course of business. The financial results do not adjust
and disclose this fact.
6. As stated in Note No. 2 to the accompanying financial results the pending determination of
obligations and liabilities in respect of various claims submitted by operational creditors,
financial creditors, other creditors and employees. The said claims are presently under
reconciliation, verification and adjudication by the Resolution Professional (“RP”). Since the
final amount payable against these claims has not yet been determined, the consequential
cumulative effect thereof on profit including other comprehensive income/(loss) for the
quarter, assets, liabilities and other equity is unascertainable.
7. As stated in Note No. 8 of the statement, finance cost of Rs. 2,192.61 Lakhs have not been
provided in the statement of profit and loss, for the quarter ended June 30, 2026. Had such
finance cost been provided, the profit including other comprehensive income/(loss) for the
quarter ended June 30, 2026 would have been lower by Rs. 2,192.61 Lakhs.
8. We have been informed that information in relation to the Corporate Insolvency Resolution
Process (CIRP), including minutes of meetings of Committee of Creditors, and the outcome of
procedures carried out by the RP as a part of the CIRP are confidential in nature and
accordingly have not been provided to us. Accordingly, the potential impact, if any, of the
aforesaid matters, on the financial results is unascertained.
9. Based on our review conducted and procedures performed, except as mentioned in para 5,6,
7 and 8 above, nothing has come to our attention that causes us to believe that the
accompanying statement, prepared in accordance with the recognition and measurement
principles laid down in the applicable Indian Accounting Standards (‘Ind AS’) specified under
Section 133 of the Companies Act, 2013 , read with relevant rules issued there under and
other recognized accounting practices and policies generally accepted in India, has not

disclosed the information required to be disclosed in terms of Regulation 33 of SEBI (Listing
Obligations and Disclosure Requirements) Regulations, 2015, including the manner in which
it is to be disclosed, or that it contains any material misstatement.
10. The Statement includes the financial results for the quarter ended March 31, 2026 being the
balancing figure between audited figures in respect of the full previous financial year ended
