Notice is hereby given that the 5th Annual General Meeting ('AGM') of the Company
is scheduled to be held on Tuesday, the 14th July, 2026 at 11:30 A.M. (IST), through
Video Conferencing ("VC")/Other Audio Visual Means ("OAVM") in line with various
circulars issued by the Ministry of Corporate Affairs, the latest being Circular No.
03/2025 dated 29th September, 2025 and the Securities and Exchange Board of India
(SEBI), to transact the businesses set out in the Notice convening the meeting.
Shareholders are being provided with the facility to attend the AGM through video
conferencing platform provided by the Company's Registrar and Transfer Agent viz
KFin Technologies Limited ('KFin'/'RTA') at https://emeetings.kfintech.com.

Instructions for remote e-voting and voting at the AGM:
Remote e-voting: Pursuant to the provisions of Section 108 of the Companies Act,
2013 and Rule 20 of the Companies (Management and Administration) Rules, 2014,
as amended from time to time, and the provisions of Regulation 44 of SEBI (Listing
Obligations and Disclosure Requirements) Regulations, 2015, Shareholders are
provided with the facility to cast their votes electronically, through remote e-voting
service provided by KFin on all Resolutions set forth in the Notice.
The remote e-voting period commences on Thursday, the 9th July, 2026 at 09.00 AM
(IST) and will end on Monday, the 13th July, 2026 at 5.00 PM (IST). During this
period, Shareholders of the Company, holding shares either in physical form or in
dematerialized form, as on the Cut-Off Date i.e. Wednesday, 01st July, 2026 may cast
their votes electronically. The AGM notice inter alia includes the detailed procedure
for remote e-voting.
E-voting during the AGM (Instapoll): Those Shareholders present during the AGM
through Video Conference facility and who have not cast their votes through remote
e-voting earlier are eligible to vote in the AGM through Instapoll. Shareholders who
have voted through remote e-voting will be eligible to attend the AGM but will not
be permitted to vote again.
Instructions for attending the AGM through VC: Shareholders will be able to attend
the AGM through VC/ OAVM at https://emeetings.kfintech.com/ by using the below
mentioned login credentials and selecting the EVEN of the Company.

Information regarding deduction of Tax at source:
This is to further inform you that the Board at its meeting held on 19th May, 2026, has
recommended a maiden final dividend of ₹ 0.40 (i.e. 20%) per equity share of the
face value of ₹ 2 each for the financial Year 2025-26, subject to the approval of
Shareholders of the Company at the ensuing Annual General Meeting scheduled to
be held on 14th July, 2026. The said dividend will be payable to those Shareholders
whose names appear in the Register of Members or Register of Beneficial Owners of
the Company on the Record Date i.e. 1st July, 2026.
In accordance with the provisions of the Income-tax Act, 2025 ("IT Act"), dividend
declared and paid by the Company is taxable in the hands of its Shareholders and the
Company is required to deduct tax at source ("TDS") from dividend paid to the
Shareholders at the applicable rates. The tax rates would vary depending on the
residential status of the shareholder and requisite documents registered with the
Company.
