Sub.: Outcome of the Board Meeting held on August 11, 2026 (“Meeting”).
Pursuant to Regulation 30, 33, 51 and 52 read with Part A and Part B of Schedule III of the Securities and
Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, as
amended (“SEBI Listing Regulations”) we hereby inform you that the Board of Directors (“Board”) of the
Company at their Meeting held on Tuesday, August 11, 2026 (i.e., today), have inter-alia considered and
approved:
1. The Unaudited Standalone and Consolidated Financial Results of the Company for the First Quarter ended
June 30, 2026, along with the Limited Review Reports as issued by the Statutory Auditors of the Company.
A copy of the said results together with the Limited Audit Review Report for the quarter ended June 30,
2026 are enclosed as Annexure I.
2. Reappointment of M/s. Kirtane & Pandit LLP, Chartered Accountants, as an Internal Auditor of the
Company for the Financial Year 2026-27.
The details under Regulation 30 of the SEBI Listing Regulations read along with SEBI Circular no.
SEBI/HO/CFD/PoD2/CIR/P/0155 dated November 11, 2024, are given as Annexure II.
3. Continuation of Mr. Vilas Ramchandra Koranne (DIN:09151665) as a Non-Executive Independent Director
of the Company beyond the age of 75 Years subject to approval of shareholders by way of Special
Resolution, in accordance with Regulation 17(1A) of the SEBI (LODR) Regulations, 2015.
4. Based on the recommendation of the Nomination and Remuneration Committee (“Committee”), the Board
of Directors considered and approved the adoption of share based employee benefit scheme under the name
and style of “Kamat Hotels (India) Limited – Employee Stock Option Scheme 2026” (“ESOS 2026” or
“Scheme”), subject to the approval of the shareholders of the Company.
The details as required under the Listing Regulations read with SEBI Master Circular No.
SEBI/HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026, with respect to above, is
given in Annexure III.
5. Proposed to convene 39th Annual General Meeting (AGM) of the Members of the Company on Saturday,
September 26, 2026, through Video Conferencing (VC)/ Other Audio Visual Means (OAVM) pursuant to
General Circular No. 09/2024 dated September 19, 2024, issued by the Ministry of Corporate Affairs
(MCA) and circular issued by SEBI vide circular no. SEBI/ HO/ CFD/ CFDPoD-2/ P/ CIR/ 2024/ 133 dated
October 3, 2024.
The Meeting commenced at 12:50 p.m. and concluded at 14:25 p.m.

Notes:
1 The above unaudited standalone financial results have been reviewed by the Audit Committee and are approved by the
Board of Directors at their meeting held on 11th August, 2026. The statutory auditors have carried out limited review of
the standalone financial results for the quarter ended 30th June, 2026.
2 The above unaudited standalone financial results have been prepared in accordance with guidelines issued by
Securities and Exchange Board of India ('SEBI') and the Indian Accounting Standards [Ind AS] prescribed under
section 133 of the Companies Act, 2013 ('the Act').
3 Pursuant to notification of the four Labour Codes on 21st November, 2025, the Company had assessed and disclosed
the incremental impact in the previous period / year under "Exceptional items." State Rules are yet to be notified, and
appropriate accounting effect will be given as further developments arise.
4 As reported in the earlier quarters, pursuant to the PMLA Court order dated 9th January, 2025, the Company, without
prejudice to its rights and contentions in the ongoing legal proceedings, deposited ₹500.00 lakhs with the Enforcement
Directorate (ED), against which a provision of ₹500.00 lakhs was made (disclosed as exceptional expense in the earlier
quarters). As of the date of these financial results, no further communication has been received from the ED.
The statutory auditors have reported emphasis of matter in their report on the standalone financial results of the
Company for the quarter ended 30th June, 2026 in line with their earlier limited review reports.
5 The Company's original lease for its unit (Lotus Resort — Konark) expired in February, 2024. While the Company had
applied for an extension of the lease period up to February 2029, an extension has been granted only up to September
2026 as of now. However, based on past experience and ongoing discussions with the Government of Odisha, the
Company expects the lease to be further extended up to February, 2029. Pending formal approval of the extended
