Subject : Intimation under Regulation 30 of the Securities and Exchange Board of India
(Listing Obligations and Disclosure Requirements) Regulations, 2015.
In compliance with Regulation 30 read with Schedule III of the SEBI (Listing Obligations and
Disclosure Requirements) Regulations, 2015 (“Listing Regulations”), we hereby inform you that
the Board of Directors of the Company, at its meeting held today, has considered and approved
the subscription to additional shares of the Saraswat Co-operative Bank Limited (“Saraswat
Bank”).
The Company is an existing borrower member of Saraswat Bank and presently holds 2,500 equity
shares of Saraswat Bank, with a credit exposure of approximately Rs. 89 Crores. The proposed
subscription to additional shares of Saraswat Bank is being undertaken pursuant to the offer made
by Saraswat Bank to eligible member-borrowers with low share-linkage levels and in accordance
with the applicable share-linkage norms.
The subscription is being undertaken in the ordinary course of the existing lender-borrower
relationship between the Company and Saraswat Bank and is linked to the Company’s existing
credit facilities.
As per the applicable regulatory framework, share-linkage of up to 2.5% of secured borrowings,
subject to the applicable conditions and limits, is permissible. Accordingly, based on the
Company’s existing credit facilities and shareholding, Saraswat Bank has offered the Company the
opportunity to subscribe to additional shares within the permissible share-linkage limit.
The proposed subscription is not being undertaken as a strategic investment or with the objective
of acquiring any ownership, management or control in Saraswat Bank. The subscription will not
result in any change in the management, control or governance of Saraswat Bank.
Further, in terms of Section 31 of the Multi-State Co-operative Societies Act, 2002, the principle
of “one member, one vote” applies to the members of a multi-State co-operative society.
Accordingly, the subscription to additional shares does not confer any proportionate increase in
voting rights, management rights or control over Saraswat Bank beyond the rights available to
the Company as a member under applicable law and the Bye-laws of Saraswat Bank.
The details required under Regulation 30 of the Listing Regulations read with SEBI Master Circular
No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated 30th January, 2026 are enclosed
herewith as Annexure A.
