Dear Sir, Pursuant to Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI Listing Regulations”), and in continuation of the Company’s earlier disclosure dated August 5, 2026, regarding setting up of a Denim Garment facility at an estimated project cost of approximately ₹186.30 crore through a joint venture with NDS9 Private Limited (“NDS9”), we wish to inform you that the Company has today i.e. August 11, 2026, executed a Joint Venture Agreement with NDS9 in relation to the aforesaid project. The proposed shareholding in the joint venture company shall be in the ratio of 74% by the Company and remaining 26% by NDS9. Presently paid up share capital of the proposed joint venture company shall be ₹1.00 crore, comprising 10,00,000 equity shares of face value of ₹10/- each. Accordingly, the Company shall subscribe to 7,40,000 equity shares of ₹10/- each, aggregating to ₹74.00 lakh, representing 74% of the equity share capital, while NDS9 shall subscribe to 2,60,000 equity shares of ₹10/- each, aggregating to ₹26.00 lakh, representing 26% of the equity share capital. The proposed project cost of approximately ₹186.30 crore shall be funded through equity contribution and term loans in the proposed ratio of 30% and 70%, respectively, which may vary in accordance with the stipulations of the term lenders, as already disclosed by the Company vide its earlier disclosure dated August 5, 2026.
