Board of India (Listing Obligations and Disclosure Requirements) Regulations,
2015 (“SEBI Listing Regulations”)
Dear Sir/ Madam,
Pursuant to Regulation 30 of the SEBI Listing Regulations, the Stakeholders Relationship Committee
of the Board of Directors of the Company today i.e. 11 August 2026 has approved the allotment of
a total of 2,00,000 equity shares of the face value of INR 1 (Indian Rupee One Only) each fully paid
up, comprising (i) 1,00,000 (One Lakh) equity shares pursuant to exercise of vested stock options
at exercise price of INR 1 per option, and (ii) 1,00,000 (One Lakh) bonus shares allotted pursuant to
the bonus issuance in the ratio of 1:1 approved by the shareholders by way of resolution dated
8 August 2025, under Clean Max Enviro Energy Solutions Limited Employee Stock Option Scheme
2015 as amended from time to time (“CMES ESOS”) to the eligible employees.
The equity shares so allotted shall rank pari-passu with the existing equity shares of the Company
in all respects.
Consequent to the aforesaid allotment, the paid-up share capital of the Company shall stand
increased from INR 11,72,71,170 to INR 11,74,71,170.
The details as required under SEBI Listing Regulations read with SEBI Master Circular No.
HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated 30 January 2026, with respect to above
allotment is enclosed as Annexure A.

reasonable manner in accordance with the scheme.
The equity shares allotted, pursuant to the exercise of the
Stock Options, would not be subject to lock-in. The Exercise
Price is the par value of equity shares of the Company i.e.,
INR 1 (Indian Rupee One Only) per Option.
