Sub: Outcome of Board Meeting held on 10th August, 2026 and intimation of material events in terms
of Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with
Para A of Part A of Schedule III
Pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015,
we would like to inform you that the Board of Directors of the Company at its meeting held today i.e.
10th August, 2026, which commenced at 01:30 P.M. and concluded at 07:45 P.M. have inter-alia
transacted the following business(es):
(a) Approved the Unaudited Financial Results (both Standalone and Consolidated) of the Company for
the quarter ended 30th June, 2026. A copy of the Unaudited Financial Results (both Standalone and
Consolidated) of the Company along with the Limited Review Report for the quarter ended
30th June, 2026 is enclosed as “Annexure-A”.
(b) Approved that the 25th Annual General Meeting (“AGM”) of the members of Manaksia Steels Limited
will be held on Wednesday, 23rd September, 2026 at 03.00 P.M. (IST) through Video
Conferencing/Other Audio Visual Means. The notice of AGM and Annual Report will be sent in due
course.
(c) Approved the Cut-off date as Wednesday, 16th September, 2026 to record the names of
shareholders entitled to vote vide remote e-voting facility / e-voting during the AGM.
(d) Granted in-principle approval to the proposal for expansion of the manufacturing facility at Haldia,
West Bengal for production of Cold-Rolled Coil and Coated Steel in two phases, at an estimated
investment of approximately ₹ 800 crore. The investment is proposed to be funded through a mix
of debt and internal accruals.
As part of the first phase, the Company had earlier announced the setting up of a Colour Coating
Line – II, which is presently under implementation, and a Cold Rolling Mill, the implementation of
which is scheduled to commence shortly. In addition to this, the Company also proposes to invest
in additional capacity of GP/Alu Zinc Coils Production to cater demand. The Company is also
evaluating the setting up of a 10 MW captive solar power plant to support the expanded operations.
In view of the evolving market scenario and the upcoming industrial policy by the Government of
West Bengal, the Company proposes to further expand its capacity in speciality steel products in
Phase II.
It is also informed that the Company has approached the State Government seeking special
incentives for the Specialty Steel sector (covering the product lines in which the expansion has been
planned) under the upcoming State Industrial Policy. The timelines for implementation of the
expansion project will be finalised based on the outcome of the incentive request.
Disclosures required under Regulation 30 read with Schedule III of the SEBI Listing Regulations and
Master Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated 30th January, 2026 are
enclosed herewith as “Annexure-B”.
This may be treated as compliance with Regulations 30, 33 and other applicable regulations, if any, of
the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and SEBI Master Circular
dated January 30, 2026.

and DisclosureRequirements)Regulations,2015,asamended.
2. Thisstatementisthe responsibility ofthecompany’smanagementandapproved by theBoard of
Directorswhichhasbeenpreparedinaccordancewiththe recognition&measurementprinciples
laid down in the Indian Accounting Standard 34 “Interim Financial Reporting” (“Ind AS 34”),
prescribed under Section 133 of the Companies Act, 2013 read with relevant Rules issued

issuedbythe InstituteofCharteredAccountantsofIndia.Thisstandard requiresthatweplanand
performthereviewtoobtainmoderateassuranceastowhetherthefinancialstatementsarefreeof
material misstatement. A review is limited primarily to inquiries of company personnel and
analytical proceduresappliedtofinancialdataand thus provide lessassurancethananaudit.We
havenotperformedanauditandaccordingly,wedonotexpressanauditopinion.
4. Based on our review conducted as above, nothing has come to our attention that causes us to
believethattheaccompanyingStatementofUnauditedStandaloneFinancial Results prepared in
accordance with applicable Indian Accounting Standards and other recognized accounting
practices and policies, has not disclosed the information required to be disclosed in terms of
Regulation33oftheSEBI(ListingObligationsandDisclosureRequirements)Regulations,2015,
asamended, includingthe manner in which it istobedisclosed,orthat it containsany material
misstatement.
