Dear Sir/Madam, Pursuant to Regulation 30 read with Schedule III of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”) and in compliance with the directions contained in the captioned notice issued by the National Stock Exchange of India Limited (“NSE”/“Exchange”), we wish to inform you that the Board of Directors of Mittal Life Style Limited (“the Company”), at its meeting held on Monday, August 10, 2026, considered the Notice issued by the NSE, deliberated upon the circumstances leading to the levy of fine and recorded its observations and comments as under: 1. Notice received from the Exchange: The Board took note of the notice dated June 30, 2026 bearing reference no. NSE/LIST- SOP/FINES/0717 received from NSE, intimating the Company of non-compliance/delayed compliance with Regulation 33 of the Listing Regulations. The Board noted that the Exchange has levied a fine of Rs.1,20,000/- plus applicable GST in terms of the aforesaid Notice. 2. Board's Comments on the Notice: The Board took note of Notice No. NSE/LIST-SOP/FINES/0717 dated June 30, 2026 received from the NSE, whereby a fine has been levied alleging non-compliance with Regulation 33 of the Listing Regulations in respect of the audited financial results for the quarter and financial year ended March 31, 2026. After deliberations, the Board observed that the Company had approved the Standalone and Consolidated Audited Financial Results at its Board Meeting held on May 26, 2026 and had completed the requisite filings with the Exchange within the prescribed timelines, including submission of the prescribed XML/XBRL filing. However, while compiling the PDF attachments for uploading on the NSE portal, the Standalone Statement of Profit and Loss was inadvertently omitted from the PDF attachment due to a clerical oversight. The omission was purely inadvertent and there was no intention whatsoever to withhold or delay any information from the Exchange or the investors. The Board further noted that immediately upon being informed by the Exchange, the Company resubmitted the complete financial results together with an appropriate clarification. The Board was satisfied that the lapse was procedural in nature and did not involve any deliberate suppression or non-submission of financial results. 3. Status of Waiver Application: The Board further noted that the Company has already submitted a detailed application before the Waiver Committee of NSE seeking waiver and/or reduction of the fine levied by the Exchange, explaining the facts and circumstances leading to the inadvertent omission and the corrective actions taken by the Company. The Board further noted that the said waiver application is presently under consideration of the Exchange and that no communication or decision has yet been received from NSE in this regard. 4. Preventive Measures: The Board noted that the Company has strengthened its internal review mechanism by introducing an additional level of verification prior to every stock exchange filing to ensure that all attachments and disclosures are thoroughly checked before submission. The Board directed the Compliance Officer to continue monitoring compliance systems so as to prevent recurrence of such inadvertent omissions. 5. Board's Observations: The Board reiterated that the Company remains committed to maintaining the highest standards of corporate governance, transparency and regulatory compliance. While expressing regret for the inadvertent procedural lapse, the Board recorded that the omission neither involved suppression of information nor resulted in any delay in approval of the financial results by the Board. The Board further noted that corrective action was taken immediately upon identification of the omission and that the waiver application is presently pending before the Exchange for consideration. On verification of the Exchange records, it has been observed that your Company has not complied/delayed complied with Regulation 33 of Listing Regulation(s). The details of non-compliance(s)/delayed compliance(s), total fine payable by your Company and the particulars about manner in which fine should be remitted to the Exchange is enclosed as Annexure. You are requested to inform the Promoters about identified non-compliance/delayed compliance and to ensure compliance with Regulation 33 of Listing regulation(s) and/or make the payment of fines within 15 days from the date of this notice, failing which the Exchange may initiate following actions as per Master Circular: 1. Initiate freezing of entire shareholding of the Promoters in the Company as well as in other securities held in the Demat account of the Promoters. 2. Trading in securities of your Company shall take place on a 'Trade for Trade' basis, in case of consecutive default with Regulation 33 of the Listing Regulations i.e., Shifting of trading in securities to Z Category as per Master Circular. Upon receipt of this review notice, the Company may file the waiver request. Below are the parameters for filing the application for waiver: a) Waiver applications sent via mail is not considered. The Company is requested to submit waiver application on the below mentioned path: NEAPS>>Compliance>>Fine Waiver>>Waiver Request b) Detailed submission indicating reasons for waiver, mentioning whether it intends to seek personal hearing before the concerned Committee. c) Further, compliance is a pre-requisite for applying for waiver.
