Dear Sir/Madam,
Pursuant to Regulation 30 read with Para A of Part A of Schedule III of the SEBI Listing Regulations, we
would like to inform you that Board of Directors of the Company at their meeting held today has, inter
alia, considered and approved the following:
1. Standalone Unaudited Financial Results of the Company for the 01st quarter ended June 30, 2026
along with Limited Review Report of the Statutory Auditors. Enclosed herewith as Annexure-1.
2. Director’s Report along with required annexures for the financial year ended March 31, 2026.
3. Recommendation to members to appoint Mr. Nikhil Jain as a Non-Executive Independent Director
of the Company at the ensuing AGM. Profile enclosed as Annexure-2.
4. Recommendation to members to increase limits as per Section 186 of the Companies Act, 2013 at
the ensuing AGM.
5. The Notice of the 32nd Annual General Meeting (‘AGM’) of the Company to be held on Friday,
September 25, 2026 at 09:30 A.M. (IST) at YWCA of Delhi 1, Ashoka Road, New Delhi – 110001.
6. Appointment of Ms. Prachi Bansal, Practicing Company Secretary, as Scrutinizer for scrutinizing
votes for the purpose of 32nd AGM.
7. The Register of Members and Share Transfer books shall remain closed from September 18, 2026
to September 25, 2026 (both days inclusive).
8. The voting rights of members shall be in proportion to their shares of the paid-up Equity Share
Capital as on the Cut-off date, i.e., September 17, 2026.
9. The remote e-voting period shall commence from September 22, 2026 at 09:00 A.M. and shall end
on September 24, 2026 at 05:00 P.M.
The Financial Results will be published in Newspapers pursuant to Regulation 47 of the SEBI Listing
Regulations.
Time of Commencement of Meeting: 04:00 P.M.
Time of Conclusion of Meeting: 05:45 P.M.
