The above statement of unaudited standalone financial results for the quarter ended 30 June 2026 were reviewed by the Audit Committee and were thereafter approved by the Board of Directors at its meeting held on 10 August 2026. The Statutory Auditors of the Company have carried out Limited Review of the above unaudited standalone financial results pursuant to Regulation 33 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended and have issued unmodified review report. 2. The Board of Directors of the Company, at its meeting held on 12 February 2026, approved the Scheme of Merger by Absorption ("Scheme") for amalgamation of INOX Infrastructure Limited, a wholly owned subsidiary of the Company, with the Company, subject to requisite statutory and regulatory approvals. Once sanctioned, the Scheme will be effective from the appointed date i.e., 1 April 2026. The effect to the said Scheme will be given on the Scheme becoming effective. Pursuant to that a Joint Company Scheme Petition was filed before the Hon'ble National Company Law Tribunal, Mumbai Bench ("Hon'ble NCLT"). The Hon'ble NCLT admitted the Petition vide its order dated 25 June 2026. The said Petition is fixed for hearing by the Hon'ble NCLT on 3 September 2026 .. 3. The segment information as per Ind-AS 108 'Operating Segments' is provided on the basis of consolidated financial results, hence the same is not provided separately for the standalone financial results. 4. The figures for the quarter ended 31 March 2026 are the balancing figures between the audited figures in respect of the full financial year and the published unaudited year to date figures upto 31 December 2025.
