Unaudited Financial Results (Standalone and Consolidated) of the Company for the quarter ended June 30, 2026, together with the Limited Review Report issued by the Statutory Auditor of the Company. A copy of the Unaudited Financial Results along with the Limited Review Report has been enclosed herewith. 2. Delegation of Authority for incorporation of Wholly Owned Subsidiaries/Subsidiary Companies to Mr. N Arvind Varchaswi, Managing Director and Mr. Tejagna K Katpitia, Executive Director. 3. The proposal for the Company to undertake a 1.782 MW (1,782 kWp) grid-connected rooftop Solar PV Project under the RESCO/OPEX model. In this regard, the Company has entered into a Term Sheet and Commercial Framework for a client, as the Power User/Client. The Term Sheet sets out the broad framework for development, installation, operation and maintenance of the proposed rooftop solar project. Key Details • Nature of Project: Grid-connected rooftop Solar PV Project • Project Capacity: 1.782 MW (1,782 kWp) • Business Model: RESCO/OPEX model • Scope of Company: Development, installation, operation and maintenance of the solar power generation facility, including relevant project coordination and approvals. The proposed project is subject to completion of the requisite site inspection, feasibility and financial evaluation, engineering activities and other applicable conditions, followed by execution of the definitive Power Purchase Agreement (PPA). The Company views the proposed project as an opportunity to diversify and expand its business activities into the renewable energy sector through the RESCO/OPEX model. The Company will make further disclosures, as applicable, upon execution of definitive agreements and achievement of subsequent material milestones.
