Name of the Scheme Yatharth Hospital & Trauma Care Services Employee Stock Option Scheme – 2024 (“Scheme”) 2. Brief details of options granted Grant of 2,50,000 (Two Lakhs Fifty Thousands) options to eligible employees. Effective grant date being the date of approval of grant i.e. August 10, 2026 3. Whether the Scheme is in Yes terms of SEBI (SBEB) Regulations, 2021 (if applicable) 4. Total number of shares 2,50,000 (Two Lakhs Fifty Thousands) Options which covered by these options shall be convertible into equal number of Shares of face value Rs. 10 each. 5. Pricing Formula The Committee has the power to provide a suitable discount on such price as arrived above. However, in any case the exercise price shall not go below the face value of the Share of the Company. Accordingly, the Exercise Price for the Options granted is ₹10 per Option, being equivalent to the face value of the equity share of the Company. 6. Options Vested Not Applicable, as this outcome is pertaining to grant of Options under the Scheme. 7. Time within which option may After Vesting, Options can be exercised either wholly be exercised or partly, within a maximum exercise period of 2 (Two) years from the date of respective vesting, after submitting the Exercise application along with payment of the Exercise Price, applicable taxes and other charges, if any. The Committee may open Exercise Window, during the overall Exercise Period, as per their own discretion. 8. Vesting Period shall commence from a period of 1 (One) year from the Grant Date and shall extend upto a maximum period of 4 (Four) years from the Grant Date, at the discretion of and in the manner prescribed by the Committee and set out in the Grant Letter. Provided further that in the event of death or permanent disability of a Grantee, the minimum vesting period of one year shall not be applicable and in such instances, the Options shall vest in terms of SEBI (SBEB & SE) Regulations, on the date of the death or Permanent Disability. After Vesting, Options can be exercised either wholly or partly, within a maximum exercise period of 2 (two) years from the date of respective vesting, after submitting the Exercise application along with payment of the Exercise Price, applicable taxes and other charges, if any. The Committee may open Exercise Window, during the overall Exercise Period, as per their own discretion. 14.
