9th August 2026 To To The General Manager The General Manager Department of Corporate Services, Department of Corporate Services, BSE Limited National Stock Exchange of India Limited Phiroze Jeejeebhoy Towers, Dalal Street, Fort Exchange Plaza, Bandra-Kurla Complex Mumbai – 400 001 Bandra (East), Mumbai – 400 051 Scrip Code: 544367; Scrip Symbol: QPOWER ISIN: INE0SII01026 Dear Sir/Madam, Sub: Outcome of Board Meeting under Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (‘Listing Regulations’) In terms of Regulation 30 read with Schedule III of the Listing Regulations, we wish to inform you that the Board of Directors of the Company, at its meeting held today, i.e. Saturday, 9th August 2026, inter alia considered and approved the following: 1. Approval of Unaudited Financial Results The Board of Directors approved the Unaudited Standalone and Consolidated Financial Results of the Company for the quarter ended 30th June 2026, as reviewed and recommended by the Audit Committee, together with the Limited Review Reports thereon issued by M/s. Kishor Gujar & Associates, Chartered Accountants, Statutory Auditors of the Company (Firm Registration No. 116747W). The Financial Results and the Limited Review Reports are enclosed as Annexure A. 2. Review of Business Performance The Board placed on record its appreciation of the strong operational and financial performance delivered during the quarter, achieved notwithstanding continued volatility in raw material prices. The Board further reviewed the Company’s order book position of approximately ₹ 1,900 crore, together with a robust enquiry pipeline and sustained demand visibility across the Company’s key business segments, which in the view of the Board underpins healthy revenue visibility for the balance of the financial year. 3. Declaration of Interim Dividend The Board approved the payment of an interim dividend of Rs. 0.25 (Rupees Twenty Five Paise only) per equity share of face value Rs. 10 each, fully paid up, representing 2.5% of the face value, for the financial year 2026-27. Pursuant to Regulation 42 of the Listing Regulations, the record date for the purpose of determining the entitlement of members to receive the said interim dividend for the financial year 2026-27 has been fixed as Friday, August 14, 2026. The interim dividend will be paid within the timelines prescribed under the Companies Act, 2013. 4. Update on Capital Expenditure and Capacity Expansion Programmes  Sangli Manufacturing Facility: Installation of machinery has commenced. Subject to receipt of the mandatory regulatory clearances from the concerned authorities, the facility is expected to be commissioned for trial production during August 2026.  HVDC CTC Magnet Wire Facility: A part of the machinery is ready, and installation is scheduled to commence in August 2026.  Endoks PCS Facility: Civil construction has been completed, and interior fit-out work is in progress. The facility is expected to be operational in the third quarter of FY 2026-27. 5. Update on proposed acquisition of Winwin Speciality Insulators Limited The Board took on record the confirmatory due diligence report in respect of Winwin Speciality Insulators Limited and noted that the exercise has not resulted in any adverse findings. Accordingly, the Board has authorised the management of the Company to negotiate and execute the Share Purchase Agreement and to undertake all such steps as may be necessary to conclude the transaction. Disclosure of the requisite particulars will be made to the Stock Exchanges in accordance with Regulation 30 of the Listing Regulations upon execution of the definitive agreements. 6. Appointment of Merchant Bankers for proposed Fund Raising The Board considered and approved the appointment of Pantomath Capital Advisors Pvt Ltd and Motilal Oswal Financial Services Ltd to act as Merchant Bankers for the proposed fund raising through Preferential issue or other permissible modes. 7. Appointment of Senior Management Personnel Based on the recommendation of the Nomination and Remuneration Committee, the Board of Directors approved the appointment of Mr. C. M. Shylendra Kumar as the Chief Technology Officer (CTO) of the Company, being a Senior Management Personnel (“SMP”), with effect from August 17, 2026. Mr. Shylendra Kumar is an Electrical and Electronics Engineer with over 30 years of experience in the power quality and reactive power compensation industry, with deep expertise across HVDC, FACTS, renewable integration and grid power quality solutions. He has held senior positions across technology, product development, quality, business management and market development with Hitachi Energy India Limited (formerly ABB India Limited) and, in his most recent role, was associated with Hitachi Energy’s global Power Quality engineering organisation, where he supported emerging technology requirements across its Power Quality Centres worldwide. His experience spans key markets including North America, Europe, South Asia and the Middle East, with extensive engagement across utilities, grid operators and industrial customers, including CEA, Grid India and POWERGRID. His domain knowledge and global industry exposure are expected to further strengthen the Company’s technology leadership in advanced power quality, HVDC and FACTS solutions, and to support the execution of its growth and product development roadmap.
