SEBI/HO/CFD/PoD2/CIR/P/0155 dated November 11, 2024, we wish to inform you that Board of Directors of Ingersoll - Rand (India) Limited (the “Company”), at its meeting held on Tuesday, July 21, 2026 has inter-alia considered and approved and taken note of the following: 1. Retirement of Mr. Sekhar Natarajan (DIN: 01031445) as Independent Director and Chairman of the Board Mr. Sekhar Natarajan was originally appointed as Independent Director on July 27, 2016 for a term of 5 years and later re-appointed for another term of 5 years which will end on July 26, 2026. Presently, he is also the Chairman of the Board. After serving on the Board for continuous period of 10 years, Mr. Sekhar Natarajan retires pursuant to Section 149(11) of the Companies Act, 2013. Consequently, effective end of day on July 26, 2026, Mr. Sekhar Natarajan will cease to be Director and Chairman of the Board. He will also cease to be Chairman of Audit committee, Member of Risk Management Committee, Member of Nomination and Remuneration Committee, Member of Corporate Social Responsibility Committee and Member of Stakeholders Relationship Committee. The Board of Directors will appoint a new Independent Director to replace Mr. Sekhar Natarajan in due course of time and well within the statutory deadlines in this regard.
