(Rupees Two only) each of the Company at a price not exceeding ? 500/-
(Rupees Five Hundred only) per equity share ("Maximum Buyback Price") and for an
aggregate amount not exceeding t 697,000,000 (RupeesSix Hundred and Ninety Seven
Million only) ("Maximum Buyback Size"), from the shareholders of the Company
(other than the Promoters, thePromoter group and Personsin control of the Company)
payable in cash via "Open Market" route through the Stock Exchange mechanism in
accordance with the provisions under theSecurities and Exchange Board of India (Buy-
Back of Securities) Regulations, 2018, as amended ("Buyback Regulations") and the
Companies Act, 2013 and Rules made thereunder, as amended, and other applicable
provisionsthereunder.
At the Maximum Buyback Size and the Maximum Buyback Price as mentioned above,
the indicative maximum number of equity shares to be boughtback under the Buyback
would be1,394,000 Equity Shares ("Maximum Buyback Shares") (representing 1.24%
is less than 25% of the existing paid up equity capital of the Company).

indicativeMaximum Buyback Shares (assumingfull deployment of Maximum Buyback

Maximum Buyback Size shall not include any expenses to be incurred for the Buyback
such as filing fees payable toSEBI,Stock Exchanges' fee for usage of their platform for
Buyback, brokerage, applicable taxes such as securities transaction tax, Goods and
Services Tax, stamp duty, etc., public announcement publication expenses,
intermediaries' fees, printing and dispatch expenses and other incidental and related
expenses("TransactionsCost").
The Board has also constituted a committee for the purposes of the Buyback
(the "Buyback Committee") and has delegated its powers to the Buyback Committee to
do or cause to be done all such acts, deeds, matters and things, in its discretion, deem
necessaryinconnection withtheBuyback.
The public announcement setting out the process, timelines and other statutory details
of the Buyback will be released in due course, in accordance with the Buyback
Regulations.
> Approved acquisition of the remaining stake of 4.28% Equity Shares from the other
existing Shareholders of JC Biotech Private Limited ("JCB") (Existing Subsidiary with
95.72%holding).Upon completionof thisacquisition,JCBwillbecomeaWholly Owned
Subsidiaryof theCompany.
> Approved infusion of additional funds not exceeding ? 20 million, in one or more
tranches, in Advanced Nutrazyme Private Limited ("ANPL") (Wholly Owned
Subsidiary of the Company) by way of Equity investment or by providing inter
corporate deposit pursuant to the provisions of the Companies Act, 2013, as may be
amendedfromtime to time.
In view of the aforesaid and pursuant to theprovisionsof Regulation30andScheduleIIIof
the SEBI (Listing Obligations and Disclosure Requirement) Regulations, 2015, as amended
("SEBI Listing Regulations") read with Master Circular HO/49/14/14(7)2025-CFD

1. We have reviewed the accompanying Statement of consolidated unaudited financial results of
Advanced Enzyme Technologies Limited (hereinafter referred to as ‘the Holding Company’) and its
subsidiaries, (the Holding Company andits subsidiaries together referred toas the ‘Group’) for the
quarter ended June 30, 2026 (‘the Statement’) attached herewith, being submitted by the Holding
Company pursuant to the requirements of Regulation 33 of the Securities and Exchange Board of
India (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended (‘the
Regulations’).
2. This Statement, which is the responsibility of the Holding Company’s Management and approved by
the Holding Company’s Board of Directors, has been prepared in accordance with the recognition
and measurement principles laid down in Indian Accounting Standard 34 ‘Interim Financial
Reporting’ prescribed under Section 133 of the Companies Act, 2013 (‘the Act’) read with relevant
rulesissued thereunder (‘Ind AS 34’) and other recognised accountingprinciples generallyaccepted
