Dear Sir / Madam,
Pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 as
amended from time to time, we are enclosing herewith the Postal Ballot Notice (the Notice) dated August 03,
2026, along with the explanatory statement for seeking approval of the Members of the Company through remote
e-voting process. The Notice can also be accessed on the website of Company at https://sbifunds.com/post-
ballot.
Voting through Electronic Means
In compliance with the applicable provisions of the Companies Act, 2013 read with the Rules made thereunder
and the circulars issued by the Ministry of Corporate Affairs, the Notice along with the explanatory statement
and instructions for e-voting has been sent only in electronic form to those Members of the Company who have
their email address registered with KFin Technologies Limited, Registrar & Share Transfer Agent of the
Company and whose names appear in the Register of Members / Register of Beneficial Owners as received from
the Depositories as on Monday, August 03, 2026 (“Cut Off date”).
The Company has engaged Central Depository Services (India) Limited (CDSL) to provide the remote e-voting
facility.
The Remote e-voting shall commence on Saturday, August 08, 2026 at 09:00 a.m. (IST) and end on Sunday,
September 06, 2026 at 05:00 p.m. (IST). Thereafter the e-voting module shall be disable by CDSL. The Results
of remote e-voting along with Scrutinizer’s report shall be communicated to the Stock Exchanges within the
prescribed timeline.
The postal ballot notice is available on the CDSL’s website at https://www.evotingindia.com/.

POSTAL BALLOT NOTICE
(Pursuant to Sections 108 and 110 of the Companies Act, 2013 read with Rule 20 and 22 of the Companies
(Management and Administration) Rules, 2014)
Dear Member(s),
The postal ballot notice (“Notice”) is hereby given to the Members of SBI Funds Management Limited (“the
Company”) pursuant to Section 108 and 110 and other applicable provisions of the Companies Act, 2013 (“the
Act”), read with Rules 20 and 22 of the Companies (Management and Administration) Rules, 2014 (“Rules”)
and other Circulars and Notifications issued thereunder (including any statutory modifications or re-enactment
thereof for the time being in force and as amended from time to time) and Regulation 44 of the Securities
and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI Listing
Regulations”) as amended from time to time, Secretarial Standard on General Meetings issued by the Institute
of Company Secretaries of India (“SS-2”) and adopted by the Central Government, and in accordance with the
guidelines/ requirements prescribed by the Ministry of Corporate Affairs (“MCA”) for conducting Postal Ballot,
vide General Circular nos.14/2020 dated April 08, 2020, 17/2020 dated April 13, 2020, read with other relevant
circulars issued in this regard, the latest being General Circular No. 03/2025 dated September 22, 2025 (collectively
the “MCA Circulars”), to transact the special businesses for the resolutions as set out in the Notice, by way of
postal ballot only by voting through electronic means (remote e-voting).
In compliance with the MCA Circulars and pursuant to other applicable laws and Regulations, this Notice is
being sent only in electronic form to those Members whose e-mail addresses are registered with the Company /
Depository Participant / registrar and transfer agent - KFin Technologies Limited to enable them to cast their votes
electronically. Accordingly, physical copy of the Notice along with Postal Ballot Form and pre-paid business reply
envelope are not being sent to the Members for this Postal Ballot. The communication of the assent or dissent
of the Members would only take place through the remote e-voting system. The instructions for remote e-voting
forms part of the ‘Notes’ to this Notice.
Commencement of e-voting period Saturday, August 8, 2026 from 09:00 am IST onwards
Conclusion of e-voting period Sunday, September 6, 2026 till 05:00 pm IST
Cut-off date for eligibility to vote Monday, August 03, 2026
The Notice will also be placed on the website of the Company at https://sbifunds.com and on the website of
Central Depository Services (India) Limited (“CDSL”) at https://www.evotingindia.com. The Notice can also be
accessed from the website of the Stock Exchanges i.e. BSE Limited (“BSE”) and National Stock Exchange of India
Limited (“NSE”) at www.bseindia.com and www.nseindia.com respectively.
Pursuant to the provisions of Rule 22 of the Companies (Management and Administration) Rules, 2014, the
Company has appointed Mr. Bhaskar Upadhyay, (FCS 8663/ CP 9625, peer review no. 6392/2025), Partner of M/s.
N.L. Bhatia & Associates, Practicing Company Secretaries, as the Scrutinizer for conducting Postal Ballot through
remote e-voting process in a fair and transparent manner. The Scrutinizer will submit the report to the Chairman
of the Company or any person authorized by him upon completion of the scrutiny of the votes cast through
remote e-voting. The results of the Postal Ballot will be announced on or before Tuesday, September 8, 2026
and will be placed on the Company’s website at https://sbifunds.com and the website of CDSL at https://www.
evotingindia.com. The results will simultaneously be communicated to the Stock Exchanges and posted on the
Notice Board of the registered Office of the Company.
The last date of e-voting i.e. September 6, 2026 shall be date on which the resolution would be deemed to have
been passed if approved by the requisite majority.

RATIFICATION OF THE SBI FUNDS MANAGEMENT LIMITED EMPLOYEES’ STOCK OPTION PLAN 2018 (THE “ESOP
2018 / PLAN”)
To consider, and if thought fit, to pass with or without modification(s), the following resolution as a Special
Resolution:
“RESOLVED THAT pursuant to Section 62(1)(b) read with Rule 12 of the Companies (Share Capital and Debentures)
Rules, 2014, and all other applicable provisions, if any, of the Companies Act, 2013 and rules made there under
(including any statutory modification(s) or re-enactment thereof) (the “Act”), Regulation 12 and all other
applicable provisions, if any, of the Securities and Exchange Board of India (Share Based Employee Benefits and
Sweat Equity) Regulations, 2021 (“SBEB&SE Regulations”), the Securities and Exchange Board of India (Listing
Obligations and Disclosure Requirements) Regulations, 2015, the Foreign Exchange Management Act, 1999 and
the rules and regulations made thereunder, and other laws, rules, regulations, circulars and guidelines of any /
various statutory / regulatory authority(ies) that are or may become applicable (collectively referred to herein
as the “Applicable Laws”), the Memorandum of Association and Articles of Association of the Company and
further subject to such other approval(s), consent(s), permission(s) and/or sanction(s) as may be necessary from the
appropriate regulatory authority(ies) / institution(s) and such conditions and modifications as may be prescribed/
imposed by the appropriate regulatory authority(ies) /
