Ref: Regulations 30, 33 and other applicable regulations of Securities and Exchange Board

Pursuant to Regulation 30, 33 and other applicable provisions of the SEBI Listing Regulations,
we hereby inform you that the Board of Directors of the Company at its Meeting held today i.e.
Friday August 07, 2026 at Raheja Artesia, Worli, Mumbai, Maharashtra 400030, inter alia,
considered and approved the following matters:
1. Unaudited Financial Results for the first quarter ended June 30, 2026 along with the
Limited Review Report by M/s. M M Nissim & Co LLP, Statutory Auditors of the
Company are enclosed herewith as Annexure A.
2. Allotment of 1,35,480 Equity Shares of Re. 1/- each pursuant to the exercise of vested
Employee Stock Options by the eligible employee(s) under the Onida Electronics
Employee Stock Option Plan, 2023, at an exercise price of Rs. 14.10 per Equity Share.
Consequent to the aforesaid allotment, the paid-up Equity Share Capital of the Company
stands increased to Rs. 36,95,27,844/- divided into 36,95,27,844 Equity Shares of Re. 1/-
each.
Details required under Regulation 10(c) of the SEBI (Share Based Employee Benefits
and Sweat Equity) Regulations, 2021 and Regulation 30 of SEBI (Listing Obligations
and Disclosure Requirements) Regulations, 2015 is enclosed as Annexure B.

Limited Review Report on the unaudited financial results of ONIDA
ELECTRONICS LIMITED (formerly known as MIRC Electronics Limited) for the
Quarter ended 30th June 2026

1. We have reviewed the accompanying Statement of unaudited standalone
financial results (“the Statement”) of ONIDA ELECTRONICS LIMITED
(formerly known as MIRC Electronics Limited) (“the Company”) for the
quarter ended 30t June 2026, attached herewith, being submitted by the
Company pursuant to the requirements of Regulation 33 of the SEBI (Listing
Obligations and Disclosure Requirements) Regulations, 2015 as amended.
This Statement which is the responsibility of the Company’s Management and
approved by the Board of Directors, has been prepared in accordance with the
recognition and measurement principles laid down in the Indian Accounting
Standard 34 “Interim Financial Reporting” (“Ind AS 34”), prescribed under
Section 133 of the Companies Act, 2013 read with relevant rules issued
thereunder and other accounting principles generally accepted in India and in
compliance with the presentation and disclosure requirements of Regulation
33 of the Listing Regulations. Our responsxbxhty is to issue a report on the
Statement based on our review.
3. We conducted our review in accordance with the Standard on Review
Engagement (SRE) 2410, Review of Interim Financial Information Performed
by the Independent Auditor of the Entity, issued by the Institute of Chartered
Accountants of India. A review of interim financial information consists of
making enquires, primarily of persons responsible for financial and accounting
matters and applying analytical and other review procedures. A review is
substantially less in scope than an audit conducted in accordance with
Standards on Auditing and consequently does not enable us to obtain
assurance that we could become aware of all significant matters that might be
identified in an audit. Accordingly, we do not express an audit opinion.

4. Based on our review conducted as above, nothing has come to our attention
that causes us to believe that the accompanying Statement prepared in
accordance with applicable accounting standards, as notified under the
Companies (Indian Accounting Standards) Rules, 2015 as specified in Section
133 of the Companies Act, 2013, read with relevant rules issued thereunder and
other recognized accounting practices and policies has not disclosed the
information required to be disclosed in terms of Regulation 33 of the SEBI
(Listing Obligations and Disclosure Requirements) Regulations, 2015, as
amended, including the manner in which it is to be disclosed, or that it contains
any material misstatement.
5. Other Matter
The Financial results for the quarter ended 30t June 2025 had been reviewed
by another auditor who had expressed an unmodified opinion on those results
based on their review.
