Sub: Intimation under Regulation 30 of SEBI (Listing Obligations and Disclosure
Requirements) Regulations, 2015
Pursuant to Regulation 30 read with Para A of Part A of Schedule III of the Securities and
Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations 2015,
we hereby inform you that the shareholders in 9th Annual General Meeting of Company held
on August 7, 2026, approved the amendment of Article of Association of the Company, by
substituting the existing Article 58(17) with the following new article as follows:
Article 58(17):
An Independent Director shall not be entitled to any stock option and may receive sitting
fees and reimbursement of expenses for participation in meetings of the Board or
Committees thereof or for any other purpose as may be permitted under the Act and
decided by the Board. On the basis of recommendations of the Nomination and
Remuneration Committee, an Independent Director may also be paid such remuneration
(in such form or proportion or manner including percentage of profits as may be permissible
under the Act), as the Board may from time to time decide, provided that such
remuneration may exceed the limit prescribed under Section 197(1) but shall not exceed
such amount as may be approved by the Members of the Company in accordance with
Sections 149, 197, 198 of the Act read with Schedule V to the Act.
