On the basis of recommendations of the Nomination and Remuneration Committee, an Independent Director may also be paid such remuneration (in such form or proportion or manner including percentage of profits as may be permissible under the Act), as the Board may from time to time decide, provided that such remuneration may exceed the limit prescribed under Section 197(1) but shall not exceed such amount as may be approved by the Members of the Company in accordance with Sections 149, 197, 198 of the Act read with Schedule V to the Act.
