Trading Symbol: EIFFL Dear Sir/Madam, Subject: Outcome of the Board Meeting for allotment of 19,30,000 Convertible Warrants on private preferential basis In compliance with Regulation 30 of the SEBI (Listing Obligations and Disclosures Requirements) Regulations, 2015, we hereby inform you that pursuant to the receipt of shareholders’ approval obtained at the Extra-Ordinary General Meeting of the Company convened on 17th July, 2026 and ‘In-Principal Approval’ received from National Stock Exchange of India Limited vide its letter reference no. NSE/LIST/56003 on 24th July, 2026 and in accordance with Chapter V of the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018 and the provisions of the Companies Act, 2013 read with rules made thereunder, the Board of Directors of the Company at their meeting held today 07th August 2026 approved the allotment of 19,30,000 (Nineteen Lakh Thirty Thousand) Convertible Warrants (“Warrants”) at a price of Rs. 245/- per Warrant, aggregating to Rs. 47,28,50,000/- (Rupees Forty Seven Crores Twenty Eight Lakh Fifty Thousands Only), upon receipt of 25% of the total consideration, to the Promoter Group and Non-promoter categories (“Proposed Allottees”) as given in Annexure A The above said allotments have been made in accordance with the terms mentioned in the Notice of EGM dated 19th June, 2026 read in conjunction with the Corrigendum to the EGM Notice dated 9th July, 2026. The proposed allottees entitled to apply for and be allotted 1 (One) Equity Share of the face value of Rs. 10/- (Rupees Ten Only) each of the Company at a premium of Rs. 235/- per share for each Warrant held by them, on payment of balance 75% of the issue price within 18 months from the date of allotment of Warrants. Pursuant to above allotment of Warrants, presently there is no change in the paid-up share capital of the Company. We request that you take the above on record.
