Consequent upon her resignation, she has also ceased to be a member of the respective Committees of the Board of Directors of the Company of which she was a member.  Reconstitution of the Audit Committee and the Nomination and Remuneration Committee of the Company, with Mrs. Megha Joshi being inducted as a member of the respective Committees. Brief Profile Mrs. Megha Joshi is a qualified Chartered Accountant with over 16 years of (in case of appointment) extensive experience in banking, credit appraisal, financial analysis, and corporate finance. She holds a Bachelor of Commerce degree from The Maharaja Sayajirao University of Baroda and has completed the Moody’s Analytics Credit Skills Certification. She is a member of the Institute of Chartered Accountants of India (ICAI). Since September 2025, she has been practising as the Proprietor of Megha Joshi & Co., providing consultancy services in the areas of funding, credit appraisal, and related financial matters. Prior to this, she had a distinguished career with the State Bank of India (SBI) from 2010 to 2025, where she held various positions, including Credit Analyst, Assistant Vice President, Vice President, and Manager (MMGS-III). During her tenure with SBI, Ms. Joshi was actively involved in credit appraisal, financial statement analysis, assessment of working capital and term loan requirements, due diligence, risk assessment, and review of large corporate credit proposals. In recognition of her outstanding performance, she was awarded the Best Credit Analyst Award by the Hon’ble Managing Director of SBI in 2022. She possesses sectoral expertise across Banking, Infrastructure, Pharmaceuticals, Ceramics, Real Estate, Textiles, Engineering, and Power, and brings significant experience in finance, credit evaluation, corporate lending, and risk management. 4.
