The Board of Directors of the Company at their meeting held on Friday, 07t August, 2026 at 1:00
P.M. ot the registered office of the Company situated at B 208, Ramji House, 30 Jambulwadi, JSS
Road, Mumbai-400002 have interalia other business, discussed and approved the following
major businesses:
1. Considered and approved Standalone Unaudited Financial Results along with Limited
Review Report thereon for the quarter ended on 30th June, 2026. Limited Review Report
and Financial Results are enclosed herewith in Annexure I.
2. Considered and approved the Re-appointment of Mr. Rajpradeep Mahavirprasad
Agrawal (DIN: 09142752) as a Whole time Director of the Company for a further period of
5 years commencing from 25 September, 2026 to 24 September, 2031 subject to the
approval of members in ensuing Annual General Meeting.
The information in terms of Regulation 30 of the SEBI (Listing Obligations and Disclosure
Requirements) Regulations, 2015 and Schedule Ill of SEBI (LODR) Regulations, 2015 and
relevant SEBI Circulars is enclosed in Annexure |I.

Independent Auditor's Review Report on the Unaudited Standalone Financial Results for
the Quarter Ended 30 June 2026 pursuant to Regulation 33 of the SEBI (Listing Obligations
and Disclosure Requirements) Regulations, 2015, as amended

Arnold Holdings Limited
1. We have reviewed the accompanying Unaudited Standalone Financial Results of Arnold Holdings
Limited (the "Company") for the quarter ended 30 June 2026, which are included in the accompanying
Statement of Unaudited Standalone Financial Results for the Quarter ended 30 June 2026 (the
"Statement"), being submitted by the Company pursuant to the requirements of Regulation 33 of the
SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended (the
"Listing Regulations"), including the relevant circulars issued by the Securities and Exchange Board of India
("SEBI") from time to time. We have initialled the Statement for identification purposes only.
2. The Statement, which is the responsibility of the Company's Management and approved by the Company's
Board of Directors, has been prepared in accordance with the recognition and measurement principles laid
down in Indian Accounting Standard (Ind AS) 34 - Interim Financial Reporting, prescribed under
Section 133 of the Companies Act, 2013 ("the Act"), read with the Companies (Indian Accounting
Standards) Rules, 2015, as amended, the circulars, guidelines and directions issued by the Reserve Bank
of India ("RBI") applicable to Non-Banking Financial Companies, and other accounting principles
generally accepted in India. Our responsibility is to express a conclusion on the Statement based on our
review.
3. We conducted our review in accordance with the Standard on Review Engagements (SRE) 2410,
"Review of Interim Financial Information Performed by the Independent Auditor of the Entity"”,
issued by the Institute of Chartered Accountants of India ("ICAI"). This Standard requires that we plan and
perform the review to obtain moderate assurance as to whether the Statement is free from material
misstatement. A review is limited primarily to inquiries of Company personnel and analytical procedures
applied to financial data and, therefore, provides less assurance than an audit. We have not performed an
audit and accordingly do not express an audit opinion.
4. Based on our review conducted as above, nothing has come to our attention that causes us to believe that
the accompanying Statement has not been prepared in accordance with the recognition and measurement
principles laid down in Ind AS 34 prescribed under Section 133 of the Act, read with the Companies (Indian
Accounting Standards) Rules, 2015, as amended, the applicable RBI guidelines and other accounting
principles generally accepted in India, and has not disclosed the information required to be disclosed in
accordance with the requirements of Regulation 33 of the SEBI (Listing Obligations and Disclosure
Requirements) Regulations, 2015, as amended, including the manner in which it is to be disclosed, or
that it contains any material misstatement. Further, nothing has come to our attention that causes us to
believe that the Statement has not been prepared in accordance with the applicable prudential norms
prescribed by the Reserve Bank of India relating to income recognition, asset classification,
provisioning and other related matters, to the extent applicable and not inconsistent with the Indian
Accounting Standards prescribed under Section 133 of the Act.
