the Ministry of Corporate Affairs and Securities and Exchange Board of India.
In this regard, we enclose herewith the proceedings of the 13th Annual General Meeting (‘AGM’) of the
Company and the Chairman’s speech delivered at the AGM.

Gist of proceedings of the 13th Annual General Meeting of Aegis Vopak Terminals Limited
The 13th Annual General Meeting (“AGM”) of the Members of the Company was held on Friday, August
07, 2026, at 11:00 a.m. (IST) through Audio Video Conference (‘AVC’) facility.
As the requisite quorum was present as per the records of attendance, Ms. Priyanka Vaidya, Company
Secretary read out instructions for the meeting to be held through AVC. Mr. Raj Chandaria, Chairman &
Managing Director thereafter called the meeting in order and proceeded with the same.
The Chairman delivered Chairman Speech giving an overview of the performance of the Company for the
financial year ended 31st March, 2026.
It was announced that there were no qualifications, observations or comments on the Secretarial matters
and financial transactions or matters which have adverse effect on the functioning of the Company as per
the Secretarial Auditors’ Report for the financial year ended 31st March, 2026 and as per Statutory Audit
Report on the Financial Statements for the year ended 31st March, 2026.
The speaker shareholders were invited to ask any queries that they may have on the Company’s financial
accounts or business operations of the Company. The Chairman & Managing Director, Mr. Raj Chandaria
then provided satisfactory response to the queries raised by speaker shareholders.
Thereafter, the Chairman announced that Mr. Prasen Naithani, Practicing Company Secretary was
appointed as a Scrutiniser to scrutinize the remote e-voting that commenced at 9.00 a.m. IST on Monday,
August 03, 2026 and ended at 5.00 p.m. IST on Thursday, August 06, 2026 and the e-voting during the
AGM. He then requested the Members present who had not casted their vote earlier to vote through
e-voting systems during the Meeting.
The Chairman informed that the details of the voting results (remote e-voting and e-voting at the AGM) on
all the resolutions as set out in the Notice of AGM along with the Scrutinizer’s Report will be promptly
communicated to BSE Ltd. and National Stock Exchange of India Ltd. and will be simultaneously uploaded
on the website of the Company within two working days of the meeting.
The resolutions briefly related to:
1. Adoption of the Audited Standalone & Consolidated Financial Statements of the Company for the
financial year ended 31st March, 2026, together with the reports of the Board of Directors and the
Auditors thereon. (Ordinary Resolution).
2. To declare Final dividend on equity shares @ 2% i.e. Rs. 0.20/- per equity share of the Company
having face value of Rs. 10 each for the financial year 2025-26. (Ordinary resolution).
3. Re-appointment of Mr. Murad Moledina, as Director, liable to retirement by rotation (Ordinary
resolution).
4. To approve the material related party transaction(s) proposed to be entered with Aegis Logistics
Limited, its Promoter (Ordinary resolution).
5. To approve the material related party transaction(s) proposed to be entered into with Aegis Gas
(LPG) Private Limited (“AGPL”), fellow subsidiary of the Company (Ordinary resolution).
6. To approve the material related party transaction(s) proposed to be entered into with Sea Lord
Containers Limited (“SCL”), fellow subsidiary of the Company (Ordinary resolution).
The Meeting concluded at 11:41 a.m. (IST) (including 15 minutes of e-voting time given during the AGM.)
Dear Members of Aegis Vopak Terminals Limited
On behalf of the Board of Directors, I thank you all for your kind presence here today. I am happy to
welcome you all to the 13th Annual General Meeting of your Company.
The company has made significant efforts to enable shareholders to participate in this AGM and vote on
the items being considered in the meeting as per the guidance of the MCA and the SEBI.
This year marks a defining milestone in our Company's journey. During the year, we successfully
completed our Initial Public Offering and listed our equity shares on BSE Limited and the National Stock
Exchange of India Limited on June 2, 2025, through a primary issuance. The successful IPO, supported by
leading domestic and international institutional investors, reflects their confidence in our long-term growth
prospects. We sincerely thank our investors and shareholders for their continued trust and confidence in
our Company.
Building on this landmark achievement, we further strengthened our capital structure by successfully
raising debt capital through a private placement and listing our nonconvertible securities on the debt
segment of the National Stock Exchange of India Limited. These significant milestones have enhanced our
financial flexibility, diversified our sources of capital, and positioned the Company strongly to pursue its
long-term growth ambitions while continuing to create sustainable value for all our stakeholders.
I would like to share with you the highlights of the progress made by Aegis Vopak Terminals Limited.
The financial performance for the whole year of FY 25-26 has been outstanding with consolidated revenue
from operations increased by 16.96% to INR 923.07 Crores as compared to INR 789.21 Crores in the
previous year due to higher throughput volume. The Profit after Tax on consolidated basis increased to
INR 341.92 Crores as compared to net profit of INR 224.84 Crores in the previous year, a rise of 52.07%.
This is mainly due to excellent performance of both our liquids and gas terminalling businesses, with the
increase in LPG throughput volumes and the scaling up of newly commissioned liquid tankage capacity.
As a result, the operational profit of the Group increased to INR 703.45 Crores as compared to INR 578.73
Crores in the previous financial year.
The Company completed several strategic acquisitions during the year and continues to evaluate further
M&A opportunities. During the year, we successfully expanded our LPG infrastructure through a series of
strategic acquisitions. The acquisition of the operational LPG terminal at New Mangalore Port added
82,000 MT of storage capacity, increasing our LPG static storage capacity from 70,800 MT to 152,800
MT. Further infrastructure additions, including LPG Rail Loading Infrastructure and a downstream Bottling
Plant at New Mangalore, are currently underway. This was followed by the acquisition of the 48,000 MT
cryogenic LPG terminal at Pipavav Port, which further strengthened our operational capabilities.
Our flagship Greenfield J2 Project at Jawaharlal Nehru Port Authority (JNPA) continues to progress as
planned, comprising 77,286 MT of LPG storage capacity, 318,100 CBM of liquid product storage, and an
LPG bottling plant
