Dear Sir/Madam,
Pursuant to Regulations 30 and other applicable provisions of the SEBI (Listing
Obligations and Disclosure Requirements) Regulations, 2015 ("SEBI Listing Regulations"),
we hereby inform you that the Board of Directors of Urja Global Limited, at its meeting
held today, i.e., August 05, 2026, which commenced at 12:40 P.M. and concluded at 03:40
P.M., has, inter alia, considered and approved the following matters:
1. The Unaudited Financial Results (Standalone and Consolidated) of the Company for the
Quarter ended June 30, 2026, along with the Limited Review Report thereon, issued by
Statutory Auditors of the Company in accordance with Regulation 33 of the SEBI (Listing
Obligations and Disclosure Requirements) Regulations, 2015.
Attached herewith a copy of the approved Unaudited Standalone and Consolidated
Financial Results along with the Limited Review Reports of the Auditors as Annexure A.
2. Appointment of Mr. Vijay Kumar Singhal as the Chief Financial Officer (CFO) and Key
Managerial Personnel (KMP) of the Company with effect from August 05, 2026. The details
are enclosed as Annexure B.
3. Appointment of Dr. Anuradha Tomar as an Additional Non-Executive Independent
Director of the Company with effect from August 05, 2026. The details are enclosed as
Annexure C.
4. The 34th Annual General Meeting of the Company will be held on Tuesday, September 22,
2026, at 11:00 A.M. through Video Conferencing ("VC") / Other Audio-Visual Means
("OAVM"), as permitted by the Ministry of Corporate Affairs ("MCA") and the Securities
and Exchange Board of India ("SEBI").
5. Appointment of M/s Siddiqui & Associates, Practising Company Secretaries, as the
scrutinizer to conduct, supervise and submit the scrutinizer's report on the remote e-
voting process and e-voting during the 34th Annual General Meeting of the Company.
6. Re-appointment of Mr. Mohan Jagdish Agarwal (DIN: 07627568) as the Managing Director
of the Company for a further period of five years with effect from November 13, 2026
subject to the approval of the shareholders of the Company.
The details are enclosed as Annexure D.
7. Re-appointment of Mr. Yogesh Kumar Goyal (DIN: 01644763) as the Whole-time Director
of the Company for a further period of five years with effect from August 05, 2026, subject
to the approval of the shareholders of the Company.
The details are enclosed as Annexure E.
8. Based on the recommendation of the Nomination and Remuneration Committee, the
proposal for continuation of Dr. Gopalsetty Prasad Rao (DIN: 07119450) as a Non-
Executive Independent Director of the Company upon his attaining the age of 75 years on
July 01, 2027 subject to the approval of the shareholders of the Company.
The details are enclosed as Annexure F.
9. In order to provide financial flexibility for the Company's future growth and funding
requirements, it is proposed to raise funds aggregating up to USD 500 Million by way of
issuance of securities, including convertible instrument, warrants, debts instruments,
either through Qualified Institutional Placement, FCCBs Issue, Right Issue, Further Public
Offering, Private Placement basis or in any combination thereof; in one or more tranches,
on such terms and conditions as may be determined by the Board, subject to the approval
of the members in accordance with applicable laws.
10. UGL ESOP Scheme – 2026 "Urja For All" ("Scheme"), brief details of which are as under:
10.1 The Employee Stock Options (“Options”) Pool of the Scheme shall be 56,00,000 (Fifty
Six Lakhs Options (or such other adjusted figure for any bonus issue, right issue, stock
splits/sub-division of shares, consolidations of shares, merger, demerger, reconstitution,
spin-off, amalgamation, reclassification of capital or other reorganization of the capital
structure of the Company as may be applicable from time to time), exercisable into equal
number of shares of face value Re. 1/- each.
The disclosure pursuant to HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January
30, 2026, is enclosed herewith as Annexure-G.
10.2 The Scheme shall be administered by the Nomination and Remuneration Committee
of the Company and shall be implemented through direct route for extending the benefits
to the eligible employees by way of fresh allotment from the Company.
11. Extension of Grant of Employee Stock Options to the Employees of the Subsidiary
Company, incorporated in India or outside India, of the Company under the UGL ESOP
Scheme – 2026 "Urja For All"
12. Appointment of M/s Corporate Professionals Capital Private Limited, a category I Merchant
Banker having registration number: INM000011435, for implementation of the Scheme till
the stage of obtaining in-principle approval from the recognized stock exchanges in terms
of Securities and Exchange Board of India (Share Based Employee Benefits and Sweat
Equity) Regulations, 2021.
