Pursuant to the additional information sought by the National Stock Exchange of India Limited ("NSE") and BSE Limited ("BSE"), in relation to the proposed preferential issue, we are enclosing herewith the Second Corrigendum to the Notice of EGM, incorporating the requisite disclosures and amendments. The Second Corrigendum to the Notice of EGM shall form an integral part of the Notice of EGM, which has already been circulated to the shareholders of the Company and on and from the date hereof, the Notice of EGM along with its Explanatory Statement shall always be read in conjunction with the First Corrigendum and this Second Corrigendum. Phone: +91-1482-245400 Email : secretarial@sangamgroup.com Website: www.sangamgroup.com SECOND CORRIGENDUM TO THE NOTICE OF THE EXTRA ORDINARY GENERAL MEETING This Second Corrigendum to the Notice of the Extra Ordinary General Meeting (“Notice of EGM”) is being issued by Sangam (India) Limited (“Company”) for convening the Extra Ordinary General Meeting of the Members of the Company through Video Conferencing/Other Audio Visual Means (VC/OAVM) facility on Wednesday, 12th August, 2026 at 11:30 A.M. (IST). This Corrigendum is to be read in conjunction with the Notice of EGM dated 18th July, 2026 sent on 21st July, 2026 and Corrigendum dated 30th July, 2026 sent on 31st July, 2026 as available on the website of the Company - www.sangamgroup.com on the website of the stock exchange i.e., National Stock Exchange of India Limited (NSE) - www.nseindia.com and BSE Limited (BSE) – www.bseindia.com and on the website of e-voting platform i.e., Central Depository Services (India) Limited (CDSL) – www.evotingindia.com The Notice of EGM has already been circulated to all the Shareholders of the Company in due compliance with the provisions of the Companies Act, 2013 and rules made thereunder, read with circulars issued by Ministry of Corporate Affairs and Securities and Exchange Board of India and all other applicable provisions. The Corrigendum dated 30th July, 2026 has been circulated to the Shareholders through email on 31st July, 2026. The Shareholders are requested to note the following changes in the Notice of the Extra Ordinary General Meeting dated 18th July, 2026 and Corrigendum issued on 30th July, 2026: 1. ITEM NO. 1 OF THE EXPLANATORY STATEMENT PURSUANT TO SECTION 102 OF THE COMPANIES ACT, 2013: a. Point (ii) of Item No. 1 of the Explanatory Statement shall be amended and to be read as under: ii) Objects of the Issue About Proposed Projects The Company proposes to utilize the proceeds of the Preferential Issue towards financing its capital expenditure programme for expansion, modernization and technology upgradation of its manufacturing facilities. The proposed capital expenditure programme comprises setting up of additional manufacturing capacities in cotton yarn, open-end yarn, recycled polyester fibre, denim fabric and garment manufacturing, modernization of the existing PV yarn manufacturing facilities, and expansion and modernization of synthetic fabric processing and PV garment manufacturing facilities, along with procurement and installation of plant, machinery, equipment and allied infrastructure. The proposed projects are aimed at enhancing the Company's manufacturing capacity, increasing operational efficiency through automation and advanced technology, strengthening backward and forward integration across its textile value chain, reducing manufacturing costs, improving product offerings and supporting sustainable long-term growth. The projects are proposed to be implemented in a phased manner and are expected to be completed on or before 31st March, 2029, subject to receipt of necessary approvals, if any, and other customary conditions. The Company intends to utilize the total proceeds to be raised through issuance of Warrants on an aggregate basis including the amounts payable for conversion of warrants aggregating up to Rs. 100,00,08,000/- (Rupees One Hundred Crores and Eight Thousand Only), through the Preferential Issue of Warrants convertible into Equity Shares of the Company for the following purposes (collectively, the “Objects”): Page 1 of 3 SANGAM (INDIA) LIMITED CIN : L17118RJ1984PLC003173 Regd. Capital Expenditure: To finance capital expenditure towards expansion, modernization and automation of the Company's manufacturing facilities, including setting up of new production capacities - Civil Construction, Purchase & implementation of plant & machinery (including equipment and electricals), as determined by the Board from time to time. ii. General Corporate Purposes: The Company proposes to utilize up to 15% of the Issue proceeds towards Other General Corporate Purposes to provide financial flexibility for meeting its business and operational requirements in the ordinary course of business. The proceeds may be utilized, inter alia, towards meeting repayment or prepayment of existing borrowings (where considered appropriate), business development and strategic initiatives, operational and administrative expenses, information technology and digital transformation initiatives, research and development, product development and quality improvement, brand building, and corporate overheads, and such other purposes as may be approved by the Board of Directors or any duly constituted committee thereof from time to time, subject to applicable laws and regulations. The proceeds shall be utilized in accordance with the provisions of the Companies Act, 2013, the SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2018, and other applicable laws & circulars of NSE and BSE.
