The Company filed Civil Suit No. 1414/2025 on 3 December 2025 before the Court of the Civil Judge (Senior Division), Court No. III, Ayodhya, seeking recovery of outstanding dues, interest and related reliefs arising from alleged breach of the distribution arrangements. The principal outstanding referred to in SEBI's letter bearing reference no. I/18007/2026 dated 3 August 2026 is Rs. 3,47,04,361.85. The case records further state interest of Rs. 76,01,681 up to November 2025, taking the aggregate claim to approximately Rs. 4.23 crore. The commercial dispute also resulted in an FIR lodged at Police Station Kotwali Ayodhya and subsequent criminal proceedings against Mr. Yogesh Kumar. Mr. Yogesh Kumar has challenged those proceedings before the Hon'ble High Court of Judicature at Allahabad, Lucknow Bench. These connected criminal and quashing proceedings do not constitute separate monetary recovery claims; their present status is provided solely to give a complete and accurate account of the dispute. The prescribed details of the civil recovery suit and the status of the connected proceedings are enclosed as Annexure A. The Company will disclose further material developments and the outcome of the proceedings in accordance with applicable law. Direct Sources - Civil Suit No. and institution date 1414/2025, filed on 3 December 2025 before the Court of the Civil Judge (Senior Division), Court No. III, Ayodhya. (c) Brief details of dispute The Company states that goods were supplied under and relief distribution arrangements dated 14 July 2017 and 1 September 2022; that the distributor allegedly breached contractual restrictions, including territorial conditions; and that outstanding sale proceeds remained unpaid despite demand. The suit seeks recovery of the outstanding principal, interest and related reliefs/damages. (d) Quantum of claim Principal outstanding: Rs. 3,47,04,361.85. Interest recorded up to November 2025: Rs. 76,01,681. Aggregate claim: approximately Rs. 4,23,06,042.85 (Rs. 4.23 crore). (e) Expected financial The civil suit is a recovery claim by the Company and implications does not, by itself, create a liability equal to the amount claimed. Recovery, if any, is subject to adjudication and enforceability and would support the Company's liquidity, cash flows and working-capital position. The records reviewed do not disclose any counterclaim or penalty against the Company in the civil suit as at 6 August 2026. The Company may incur ordinary legal and related costs. A charge-sheet dated 19 December 2025 was filed under Sections 406, 420 and 506. Cognizance and summoning order dated 14 January 2026 was passed in Criminal Case No. 76/2026, State of U.P. v. Yogesh Kumar, before the Chief Judicial Magistrate, Ayodhya. The High Court papers and portal refer to the underlying crime number as 447/2024, whereas the FIR and charge-sheet records identify it as 0477/2024. (c) High Court quashing Mr. Yogesh Kumar filed Application under Section proceeding 528 BNSS No. 1025/2026, Yogesh Kumar v. State of U.P. and Another, before the Hon'ble High Court of Judicature at Allahabad, Lucknow Bench, on 12 March 2026, seeking quashing of the charge-sheet and Criminal Case No. 76/2026. By order dated 10 April 2026, the High Court directed that the criminal proceedings remain stayed, insofar as Mr. Yogesh Kumar is concerned, until the next date of listing. The High Court case-status record generated on 6 August 2026 shows the matter as pending at the stage 'For Order' and records 31 July 2026 as the latest listing with the direction 'List after a fixed period'. (d) Earlier connected Mr. Yogesh Kumar's Section 9 application in Civil proceedings Misc. Arbitration Case No. 15/2024 was dismissed on 30 August 2024. Criminal Misc. Writ Petition No. 7494/2024, challenging the FIR, was disposed of on 25 August 2025 with directions to participate and cooperate in the investigation; the earlier court- referred mediation had concluded without settlement.
