Dear Sir/Madam,
Subject: Outcome of Board Meeting held on August 06, 2026.
Pursuant to Regulation 30 and 33 read with Schedule III of SEBI (Listing Obligations and Disclosure
Requirements) Regulations, 2015 (‘SEBI Listing Regulations’), we hereby inform you that the Board of
Directors of the Company at its meeting held today i.e. Thursday, August 06, 2026, have inter-alia,
considered and approved following matters:
1. Unaudited Financial Results (Standalone and Consolidated) along with Limited Review Report
thereon for the quarter ended June 30, 2026. A copy of said Unaudited Financial Results along with
the Limited Review Report issued by the Auditors is enclosed herewith as “Annexure I”.
An extract of the aforesaid financial results would be published in the Newspaper in accordance with
SEBI Listing Regulations.
2. On the recommendation of Audit Committee, re-appointment of the M/s. PYS. & Co. LLP, Statutory
Auditor of the Company for a Second term of 5 (five) consecutive financial years i.e. to hold office
from the conclusion of 42nd Annual General Meeting till the conclusion of 47th Annual General
Meeting, subject to approval of the shareholders of the Company at the ensuing 42nd Annual General
Meeting of the Company. Details of which is enclosed herewith as “Annexure II”.
3. Resignation of Ms. Supriya Sudheer Kaduskar as the Company Secretary and Compliance Officer of
the Company w.e.f. August 06, 2026. Resignation Letter is annexed to this letter as “Annexure -III”.
4. On the recommendation of Nomination and Remuneration Committee, appointment of Ms. Anita
Jaiswal as the Company Secretary and Compliance Officer of the Company w.e.f. August 06, 2026.
The details as required under the SEBI Listing Regulation read with SEBI Circular No.
CIR/CFD/CMD/4/2015 dated 9th September, 2015 are annexed to this letter as “Annexure -IV”.
5. Draft notice convening the 42nd Annual General Meeting of the Company for the financial year ended
March 31, 2026, scheduled to be held on Tuesday, September 29, 2026, through Video Conferencing
(‘VC’)/Other Audio Visual Means (‘OAVM’).
6. Proposal for incorporation of Wholly-owned Subsidiary Company Outside India (in Singapore) to
undertake the businesses of (i) academic development and education, as well as training for professional
and skills development of personnel engaged or to be deployed in various trades and vocations
including but not limited to organized or unorganized retail sectors through own- run, franchisee
operated or in collaboration with other institutions, and to promote universities, institutions, colleges,
schools, vocational training centers for providing such training and spreading awareness of literacy and

human development through computers and other media and promote research and development in all
branches of human interest and award doctorate, degrees, diplomas or such other titles in vogue in the
academic or professional fields. (ii) To conduct, promote, takeover, enter into franchise arrangements
for, collaborate with foreign agencies/institutions for educational schools or colleges or Institutes by
whatever name called in the field of education.
The details required under Regulation 30 of SEBI Listing Regulations is enclosed herewith as
“Annexure V”.
7. Further to the outcome of the Board Meeting dated November 06, 2025, wherein the Board had
approved the initial investment limit for the Company's wholly owned subsidiary incorporated in the
UAE, the Board has at its meeting held today, approved a revision in the said initial investment limit.
The revision has been necessitated solely due to fluctuations in foreign exchange rates, resulting in an
increase in the initial investment limit in Indian Rupee terms. There is no change in the underlying
investment proposal, business objectives, or the total investment in the foreign currency approved by
the Board.

Independent Auditor’s Review Report on the Quarterly Unaudited Standalone Financial
Results of Jetking Infotrain Limited, pursuant to Regulation 33 of the SEBI (Listing
Obligations and Disclosure Requirements) Regulations, 2015, as amended

Jetking Infotrain Limited
1. We have reviewed the accompanying Statement of unaudited standalone financial results of
Jetking Infotrain Limited (“the Company”) for the quarter ended 30 June 2026 (“the Statement”)
attached herewith, being submitted by the Company pursuant to the requirements of Regulation
33 of SEBI (Listing Obligation and Disclosure Requirements) Regulations, 2015, as amended
(“the Listing Regulations”). We have affixed our stamp on the Statement for identification
purpose only.
2. This Statement, which is the responsibility of the Company’s management and approved by the
Company’s Board of Directors, has been prepared in accordance with the recognition and
measurement principles laid down in Indian Accounting Standard (“Ind AS 34”) “Interim Financial
Reporting” prescribed under section 133 of the Companies Act, 2013, as amended, read with
relevant rules issued thereunder and other accounting principles generally accepted in India.
Our responsibility is to express a conclusion on the Statement based on our review.
3. We conducted our review of the Statement in accordance with the Standard on Review
Engagements (SRE) 2410 – “Review of Interim Financial Information performed by the
Independent Auditor of the Entity” issued by the Institute of Chartered Accountants of India. This
Standard requires that we plan and perform the review to obtain moderate assurance as to
whether the Statement is free of material misstatement. A review is limited primarily to inquiries
of the Company personnel and analytical procedures applied to financial data and thus provides
less assurance than an audit. We have not performed an audit and accordingly, we do not
express an audit opinion.
4. Based on our review conducted as above, nothing has come to our attention that causes us to
believe that the accompanying Statement, prepared in accordance with recognition and
measurement principles laid down in the aforesaid Indian Accounting Standards specified under
Section 133 of the Companies Act, 2013 as amended, read with relevant rules issued
thereunder and other accounting principles generally accepted in India, and has not disclosed
the information required to be disclosed in terms of the Regulations, including the manner in
which it is to be disclosed, or that it contains any material misstatement.
5. We draw attention to:
a) Note 5 to the standalone financial results regarding regarding amount recoverable from a
Broker/Sub-broker for an unauthorized trade taken place in NSE F&O segment for an
aggregate amount of Rs. 36.77 Lakhs in earlier years. The Company had filed arbitration
proceedings against the said Broker/Sub-broker and the Order had been received in
