LLP CHARTERED ACCOUNTANTS Limited Review Report on the Unaudited Standalone Financial Results for the Quarter ended 30th June 2026 pursuant to the Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended. The Board of Directors Tirupati Fincorp Limited We have reviewed the accompanying Statement of Unaudited Standalone Financial results of Tirupati Fincorp Limited (“the Company”) for the quarter months ended June 30, 2026. (“the Statement”) being submitted by the Company pursuant to the requirements of Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended. The Statement, which is the responsibility of the Company's Management and approved by the Board of Directors, has been prepared in accordance with the Recognition and Measurement principles laid down in the Indian Accounting Standard 34 "Interim Financial Reporting" ("Ind AS 34"), prescribed under Section 133 of the Companies Act, 2013 as amended read with relevant rules issued thereunder and other Accounting Principles generally accepted in India as applicable to the Company. Our responsibility is to express a conclusion on the Statement based on our review. We conducted our review of the Statement in accordance with the Standard on Review Engagements (SRE) 2410 “Review of Interim Financial Information Performed by the Independent Auditor of the Entity”, issued by the Institute of Chartered Accountants of India. A review of interim financial information consists of making inquiries, primarily of persons responsible for financial and accounting matters, and applying analytical and other review procedures. A review is substantially less in scope than an audit conducted in accordance with Standards on Auditing and consequently does not enable us to obtain assurance that we would become aware of all significant matters that might be identified in an audit. Accordingly, we do not express an audit opinion. Based on our review conducted and procedures performed as stated in paragraph 3 above, except the matters specified in below paragraphs nothing has come to our attention that causes us to believe that the accompanying statement of unaudited financial results prepared in accordance with applicable Indian Accounting Standards specified under Section 133 of the Companies Act, 2013 read with relevant rules thereunder and other recognized accounting practices and policies has not disclosed the information required to be disclosed in terms of Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 including the manner in which it is to be disclosed, or that it contains any material misstatement. The company has continued its financing activities despite cancellation of NBFC Certificate of Registration by RBI w.e.f. 30th April, 2019 and as per RBI order dated 19/05/2025 Rejection of application for grant of Certificate of Registration of NBFC and directed to stop doing financing business with immediate effect. The company has passed the Board resolution on 11 Aug, 2025 that they shall not pursue the NBFC business and shall refrain from undertaking any activities that fall under the purview of NBFC operations as defined by RBI as per order. Extension was sought of 6 months from RBI with respect to compliance with RBI directions related to its order is awaited till the date of reporting. LLP CHARTERED ACCOUNTANTS We were unable to verify the correctness of interest expense/income amount as we could not verify the loan documents, as they were not available in many cases. The internal controls kept for lending business have some gaps which needs to be strengthen. Other Matters The company was hit by ransomware cyber-attack on 03rd July, 2026 and all the financial data including back-up were compromised and the company could not recover it. It is an event after quarter ended but as per note no (6) the management has stated that there is no financial loss due to this event. We observed that the company has deducted Profession Tax (PT) from employees’ salaries. However, the deducted amount has not been remitted to the concerned statutory authorities. Further, it was noted that the company has not obtained the mandatory professional tax registration from the relevant authority. Our opinion is not modified in respect of the above matters.
