Preferential Issue of Reliance Power Limited (“The Company”)
We write in our capacity of Monitoring Agency for the Preferential Issue of the convertible
warrants aggregating to Rs.1,524.60 crore of the Company and refer to our duties cast under
162A of the Securities & Exchange Board of India (Issue of Capital and Disclosure
Requirements) Regulations, 2018 (SEBI ICDR Regulations).
In this connection, we are enclosing the Monitoring Agency Report for the quarter ended June
30, 2026, as per aforesaid SEBI ICDR Regulations and Monitoring Agency Agreement dated

(a) Deviation from the objects: Nil. While no deviation has been observed in utilisation of funds
received, the Company received lower aggregate proceeds than originally contemplated due to
lapse of warrants not exercised within the prescribed period.
(b) Range of Deviation*: Nil
Indicate range of percentage deviation from the amount of issue proceeds earmarked for objects.
For example, up to 10%, 10 – 25%, 25-50%, 50-75%, 75-100%, not ascertainable etc.
* Range of Deviation may be computed by taking weighted average of financial deviation of
each object in the ratio of issue proceeds allocated for it. Non-financial deviation may be
indicated separately by way of notes.

preferential issue at issue price of Rs.33.00 (including a premium of Rs.23.00) aggregating to Rs.1,524.60 crore in accordance with provisions of the
SEBI (Issue of Capital and Disclosure Requirement) Regulations, 2018. During the quarter ended June 30, 2025, the Company allotted 11,88,00,000
fully paid-up equity shares of Rs. 10/- each, upon exercise of right attached to the warrants.
The Company has allotted 10,55,00,000 equity shares on May 07, 2025, and 1,33,00,000 equity shares on May 20, 2025, upon exercise of rights
attached to the warrants, for a total consideration of Rs. 392.04 crore.
