Pursuant to Regulation 30 read with Part A of Schedule III and Regulation 34 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”), please find enclosed the Integrated Report of the Company for the financial year 2025-26, together with the Notice convening the 47th AGM. Pursuant to Regulation 42 of the Listing Regulations, the “Record Date” for the purpose of ascertaining the eligibility of shareholders for payment of final dividend has been fixed as Friday, August 21, 2026. The final dividend will be paid within stipulated timelines as prescribed under law. Pursuant to the provision of Section 108 of the Companies Act, 2013 (“the Act”) read with Rule 20 of the Companies (Management and Administration) Rules, 2014, as amended from time to time, and Regulation 44 of the Listing Regulations, the Company is pleased to provide to its members, the facility of remote e-voting prior to the AGM and e-voting during the AGM in respect of the business set out in the Notice of the AGM. Members whose names appear in the Register of Members or in the Register of Beneficial Owners maintained by the Depositories as on the cut-off date, i.e. Friday, August 21, 2026, will be entitled to avail themselves of the remote e-voting facility, attend the AGM through VC/OAVM and vote during the AGM, subject to the instructions contained in the Notice of the AGM. The Integrated Report for the financial year 2025-26, together with the Notice of the AGM, is being sent through electronic mode to those Members whose email addresses are registered with the Company, its Registrar and Transfer Agent or the Depositories/Depository Participants. In accordance with Regulation 36(1)(b) of the Listing Regulations, a letter containing the web link, including the exact path for accessing the Integrated Report, is being sent to those Members whose email addresses are not registered.
