Aditya Birla Chemicals (India) Limited to transfer Business Undertaking of the Caustic Soda Plant at Ganjam, Odisha for a lump sum consideration of Rs. 212 Cr. The said Business Transfer Agreement was completed on 215 September, 2015. Before closing of said Business Transfer, the Company was directed by the Odisha State Pollution Control Board (OSPCB) to deposit a sum of Rs. 2.11 Cr as per Order dt. 1% May, 2015 under the Environment Protection Act. The Company had filed a Writ Petition where in Interim Order was passed directing the OSPCB and CPCB not to take coercive action against the Company. After closing of the said Business Transfer, during the process of merger between M/s. Grasim Industries Limited and M/s. However, the Company declined to make any payment and the matter went to Arbitration (Arbitration Proceeding No.54 of 2021) and the learned Arbitral Tribunal has passed an arbitral award dated 12" April, 2024 against which the Company has filed the present petition. Expected financial implications, if any, due to The Court of the Civil Judge compensation, penalty etc. imposed on the Company | (Senior Division), Commercial Court, Bhubaneswar has vide its Order dt. 03 August, 2026, dismissed our application against the Arbitral Award dated 12" April, 2024 which was subsequently informed to ’ the stock exchange on 13" April, 2024, Therefore, the Arbitral Award (Arbitration Proceeding No.54 of 2021) dated 12" April, 2024 stands upheld and accordingly the Company is liable to pay the respondent reimbursement of costs of Rs. 2.11 Cr with interest @9% p.a. w.e.f. date of filing of claim petition till the date of actual payment alongwith payment of Rs. 28.70 Cr towards remediation costs and reimbursement of arbitration costs of Rs. 25 lakhs to the respondent as mentioned in the said Arbitral award dated- 12.04.2024.
