Subject: Intimation pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure
Requirements) Regulations, 2015 (“Listing Regulations”)
Dear Sir/Madam,
Pursuant to the provisions of Regulation 30 read with sub-para 20, Part A, Part A, Schedule III of the
Listing Regulations, we hereby make the following submission:
(i) Name of the Authority Hon’ble High Court of Delhi, New Delhi
(ii) Nature and details of the action(s)taken, The Hon'ble Delhi High Court disposed of the interim
initiated or order(s) passed; applications in CS(COMM) 376/2026 (Asian Hotels
North Limited v. Exclusive Capital Limited & Ors.) and
the connected matter CS(COMM) 1360/2025 (Exclusive
Capital Limited v. Clover Media Private Limited & Ors.).
The Court, after examining the Inter-Corporate Loan
Agreement, the subsequent assignment of debt and the
One-Time Settlement (OTS), held that Asian Hotels North
Limited (AHNL) has established a strong prima facie case
and that the balance of convenience lies in its favour.
The Court directed DBS Bank India Limited to release
and physically hand over the original title deeds and other
security documents relating to Hyatt Regency, Bhikaji
Cama Place, New Delhi to AHNL, subject to the condition
that AHNL deposit Rs. 1,59,66,05,228/- with the Registrar
General of the Delhi High Court within four weeks. The
deposited amount shall be kept in an interest-bearing fixed
deposit and shall remain subject to the final outcome of
the suit. Upon proof of such deposit, DBS Bank India
Limited shall release the original title deeds and other

security documents to AHNL within one week.
The Court further clarified that all observations and
findings contained in the order are prima facie in nature
and shall not influence the final adjudication of the suits
on their merits.
(iii) Date of receipt of direction or order, including Court Order dated August 03, 2026 received by us on
any ad-interim or interim orders, or any other August 05, 2026
communication from the authority
(iv) Details of the violation(s) The proceedings do not involve a finding of any violation
/contravention(s)committee or alleged to be or contravention by the Company. The Hon'ble Delhi
committed; High Court, while disposing of the interim applications in
the pending commercial suits, directed that the original
title deeds and other security documents relating to Hyatt
Regency, Bhikaji Cama Place, New Delhi be released by
DBS Bank India Limited to Asian Hotels North Limited
(AHNL) subject to the condition as provided in clause (ii)
of this table.
The Court clarified that all findings are prima facie in
nature and shall not influence the final adjudication of the
suits on merits.
(v) Impact on financial, operation or other Since the original title and ownership documents relating
activities of the listed entity, quantifiable in to the Hyatt Regency Hotel property situated at Bhikaji
monetary terms to the extent possible. Cama Place, New Delhi are proposed to be released by
DBS Bank India Ltd. and the release of these documents
will not have any material financial or operational impact
on the Company.
In terms of the Order, the Company is required to deposit
₹1,59,66,05,228 with the Registrar General of the Delhi
High Court within four weeks. The deposited amount
shall be kept in an interest-bearing fixed deposit and shall
remain subject to final outcome of the suit.
