We wish to inform you that the 107th Annual General Meeting (the “AGM”) of the
members of the Bank was held today i.e., 05th August 2026, through Video
Conferencing (“VC”)/Other Audio Visual Means (“OAVM”) facility provided by
National Securities Depository Limited (‘NSDL’) as per the guidelines issued by
Ministry of Corporate Affairs and in compliance with the applicable provisions of
the Companies Act, 2013, rules framed thereunder and the SEBI (Listing
Obligations and Disclosure Requirements) Regulations, 2015 to transact the
business(es) set out in the Notice of AGM dated 07th July 2026.
Pursuant to Regulation 30 of the Securities and Exchange Board of India (Listing
Obligations and Disclosure Requirements) Regulation, 2015, we enclose herewith
the summary of proceedings of the AGM.

Proceedings of the 107th Annual General Meeting of the Bank held on
05th August 2026, commenced at 11:00 A.M. through Video Conferencing
(“VC”)/Other Audio Visual Means (“OAVM”)

In compliance with the provisions of the Companies Act, 2013, SEBI (Listing
Obligations and Disclosure Requirements) Regulations, 2015, Secretarial
Standards issued by the Institute of Company Secretaries of India and the circulars
issued by the Ministry of Corporate Affairs (MCA) and Securities Exchange Board of
India, the 107th Annual General Meeting (AGM) of the Bank was held on 05th
August 2026, at 11:00 A.M. IST through Video Conferencing/Other Audio Visual
Means (VC/OAVM).
On confirmation of the requisite quorum present in the meeting by the Company
Secretary, Chairperson called the meeting to order and commenced the 107th
Annual General Meeting of the Bank.
Dr Meena Hemchandra, Non-Executive Independent (Part-Time) Chairperson of the
Bank introduced the Directors, Key Managerial Personnel of the Bank, Statutory
Auditors, Secretarial Auditors and the Scrutiniser.

appointed for the purpose of remote e-voting held prior and e-voting during and
after the AGM were also present for the meeting from their respective locations
through VC/OAVM.
Chairperson informed that Bank has taken all feasible efforts to enable the
members to participate in the meeting through VC/ OAVM and also to vote at the
AGM.
Company Secretary made few announcements to shareholders with respect to
participation through VC/OAVM, provision for e-Voting and also e-Voting at the
AGM through NSDL Platform, Q&A session and other general announcements.
Further, he made announcement with respect to dispatch of Notice & Annual
Report through electronic mode to those members who had registered their email
address(es). With respect to the shareholders whose email addresses are not
registered, bank has dispatched a letter providing the QR code, web-link and the
exact path, where Notice of this AGM and the Integrated Annual Report is available,
to their latest available postal addresses.
All the relevant documents pertaining to the agenda items, as mentioned in the
Notice, requiring the approval of the members at the meeting and Statutory
Registers, other documents were made available to the Members for electronic
inspection on the NSDL e-Voting platform.
Chairperson delivered her welcome address and briefly highlighted the Economic
Landscape and Bank’s consistent performance. She highlighted the Strategic
Priorities & Growth Initiatives taken during the year, Technology & Digital
initiatives, Cybersecurity & Operational Resilience, Risk Management &
Compliance, Leadership acknowledgements, ESG practices and Shareholder’s
rewards.
The Notice convening the 107th Annual General Meeting and the Annual Report
were taken as read. Chairperson further informed that since the Auditors' Report
on the Financial Statements for the financial year ended 31st March 2026 and
Secretarial Audit Report do not have any qualifications, reservations, observations,
adverse remarks or disclaimer, the Auditor's Report and the report of the
Secretarial Auditor for the year ended 31st March 2026 were taken as read.

Human Resources initiatives, Risk & Compliance Culture, New initiatives taken
during the FY 2025–26, Environmental, Social & Governance (ESG) practices,
Governance Initiatives and Awards & Accolades received during the year.
