Subject: Board Meeting Decisions
This is in continuation to our letter dated July 30, 2026 and pursuant to SEBI (Listing Obligations and
Disclosure Requirements) Regulations, 2015, a Meeting of the Board of Directors the Company was
held as scheduled today i.e., August 05, 2026 and the Board inter-alia took the following decisions:
(i) Approved the unaudited consolidated financial results for the first quarter ended June 30, 2026
along with the Limited Review Report of the Statutory Auditors of the Company.
(ii) Approved the unaudited standalone financial results for the first quarter June 30, 2026 along with
the Limited Review Report of the Statutory Auditors of the Company.
The financial results along with limited review report of the Statutory Auditors are enclosed
pursuant to Regulation 33 of SEBI (Listing Obligations and Disclosure Requirements)
Regulations, 2015.
(iii) Approval of a new Employee Stock Option Plan titled “BHVL Employee Stock Option Plan 2026”
for grant of stock options to eligible employees of the Company which is subject to approval of
Shareholders.
Pursuant to Regulation 30 read with clause 7 of Para A Part A of Schedule III to the SEBI Listing
Regulations, 2015, we would like to inform you that Mr. Vinay Gupta has been appointed as Chief
Executive Officer and Key Managerial Personnel of the Company with effect from August 17, 2026.
The details relating to his the appointment as required under Regulation 30 of Listing Regulations read
with SEBI Master Circular No. SEBI/HO/CFD/PoD2/CIR/P/0155 dated 11 November 2024, is
enclosed herewith as Annexure A.
The meeting started at 2.30 p.m. and ended at 5.05 p.m.
The trading window of the Company was closed from July 01, 2026 and shall open on August 10, 2026.
The above information is also hosted on the website of the Company at www.bhvl.in.

Results of the Company Pursuant to the Regulation 33 of the SEBI (Listing Obligations and Disclosure

1. We have reviewed the accompanying statement of Unaudited Consolidated Financial Results of Brigade Hotel
Ventures Limited (the “Holding Company”) and its subsidiary (the Holding Company and its subsidiary together
referred to as the “Group”), for the quarter ended June 30, 2026 (the “Statement”) attached herewith, being
submitted by the Holding Company pursuant to the requirements of Regulation 33 of the SEBI (Listing
Obligations and Disclosure Requirements) Regulations, 2015, as amended (the “Listing Regulations”).
2. The Holding Company’s Management is responsible for the preparation of the Statement in accordance with the
recognition and measurement principles laid down in Indian Accounting Standard 34 (Ind AS 34) “Interim
Financial Reporting” prescribed under Section133 of the Companies Act, 2013 as amended, read with relevant
rules issued thereunder and other accounting principles generally accepted in India and in compliance with the
Listing Regulations. The Statement has been approved by the Holding Company’s Board of Directors. Our
responsibility is to express a conclusion on the Statement based on our review.
3. We conducted our review of the Statement in accordance with the Standard on Review Engagements (SRE)
2410, “Review of Interim Financial Information Performed by the Independent Auditor of the Entity”issued by
the Institute of Chartered Accountants of India. This standard requires that we plan and perform the review to
obtain moderate assurance as to whether the Statement is free of material misstatement. A review of interim
financial information consists of making inquiries, primarily of persons responsible for financial and accounting
matters, and applying analytical and other review procedures. A review is substantially less in scope than an
audit conducted in accordance with Standards on Auditing and consequently does not enable us to obtain
assurance that we would become aware of all significant matters that might be identified in an audit.
Accordingly, we do not express an audit opinion.
We also performed procedures in accordance with the Master Circular issued by the Securities and Exchange
Board of India under Regulation 33(8) of the Listing Regulations, to the extent applicable.
4. The Statement includes the results of the following entities:

5. Based on our review conducted and procedures performed as stated in paragraph 3 above and based on the
consideration of the review reports of other auditors referred to in paragraph 7 below, nothing has come to our
attention that causes us to believe thatthe accompanying Statement, prepared in accordance with the recognition
and measurement principles laid down in the aforesaid Indian Accounting Standards (‘Ind AS’) specified under
Section 133 of the Companies Act, 2013, as amended, read with relevant rules issued thereunder and other
accounting principles generally accepted in India, has not disclosed the information required to be disclosed in
terms of the Listing Regulations, including the manner in which it is to be disclosed, or that it contains any
material misstatement.
6. Emphasis of Matter
We draw attention to Note4to the Statement in connection withongoing legal proceedings relating to property
tax and income tax survey matters. Our conclusion is not modified in respect of these matters.
