Dear Sir/Madam, I, Chand Vishnudatt Arora, presently classified as a member of the 'Promoter Group' of the Delta Manufacturing Limited ("the Company"), and my name appears under the 'Promoter and Promoter Group' Category in the latest shareholding pattern filed by the Company with the stock exchanges pursuant to the Provisions of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("SEBI LODR Regulations"). At present, I do not participate in the management of the Company in any manner or capacity whatsoever and I do not hold any key managerial positions. In a nutshell, I have no insight, role, participation, influence or involvement in the management or operations of the Company at any level or in any degree. Further please note that I, through persons acting in concert with me does not hold any equity shares of the Company and does not exercise any control over the Company either directly or indirectly. Accordingly, pursuant to Regulation 31A of the SEBI LODR Regulations, I hereby submit this application seeking my reclassification from the 'Promoter Group' category to the 'Public category' pursuant to Regulation 31A of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("SEBI LODR Regulations"). In this regard, I hereby confirm, declare, and undertake as follows: 1. I along with persons related to me together: a) do not hold any shares or voting rights (0%) in the Company; b) do not exercise control over the affairs of the listed entity, directly or indirectly; c) do not have any special rights with respect to the Company through formal or informal arrangements including through any shareholder agreements; d) are not being represented on the board of directors (including not having a nominee director) of the Company; Chand V. There is no pending regulatory action against me. 3. I undertake that, upon reclassification, I shall continue to comply with the conditions specified under sub-clauses (i), (ii) and (iii) of clause (b) of Regulation 31A(3) of Listing Regulations, 2015 at all times from the date of reclassification, failing which, I shall again be reclassified as person belonging to the promoter group of the Company. 4. I will comply with the conditions mentioned in the of sub-clauses (iv) and (v) of clause (b) of Regulation 31A(3) of SEBI LODR Regulations, 2015 for a period of not less than three (3) years from the date of reclassification, failing which, I will again be reclassified as person belonging to promoter group of the Company. 5. As you would appreciate as a matter of fact and in light of the reasons above, I can no longer belong to the 'Promoter Group' of the Company. 6. I therefore request the Board of Directors to consider and approve my reclassification from the "Promoter Group" category to the "Public category" and to take all necessary steps for obtaining the requisite approvals and making the necessary filings with the stock exchanges and other regulatory authorities in accordance with the SEBI LODR Regulations and other applicable laws. 7. Accordingly, in view of the above submissions I request the Company to remove me from the category of a 'Promoter Group' and ensure that in the Company's future filings with regulatory and statutory authorities it does not classify me as a 'promoter group' of the Company pursuant to such removal. 8. In this regard, I would request you to undertake all the necessary actions as applicable. 9. I undertake to extend all necessary cooperation and furnish such declarations, undertakings, documents, information, or confirmations as may be required by the Company, the stock exchanges, SEBI, or any other regulatory authority in connection with this application.
