Respected Sir/Ma’am,
This is to inform you that at the meeting of the Board of Directors of the Company held
today, the following business was transacted inter alia:
1. Consideration and approval of Standalone and Consolidated Unaudited
Financial Results along with Limited Review Report for the period ended June
30, 2026 as per Regulation 33 of SEBI (LODR) Regulations, 2015.
2. Approval of additional Investment in the Wholly owned subsidiary of Rs. 40
Crores as per agreed terms, to be met out of cash accruals and other liquid
funds available with the company, by way of Unsecured Loan / Debenture /
Equity/ Preference Shares, in compliance with various local as well as other
regulatory approvals. The objective of long-term fund requirement of the Wholly
Owned Subsidiary Company will be to meet relevant Capital / Operational
Expenditure
3. Update of the current project: The project has achieved substantial completion
with respect to mechanical erection, utilities integration, instrumentation,
electrical systems, and process commissioning. All major equipment and
auxiliary systems have been successfully installed. Initial part of process is with
satisfactory performance during trial operations except downstream section.
Commercial production has not yet commenced due to the ongoing optimization
of the distillation process.
4. Considered and approved the allotment of 2127 equity shares of face value of
Rs. 10/- each to the eligible employee (s) of the Company upon exercise of stock
options granted under DACL- ESOP 2021.
Upon allotment, the paid-up equity shares capital of the Company increased
from Rs.10,05,33,920/-divided into 1,00,53,392 equity shares of Rs.10/- each
to Rs.10,05,55,190/- divided into 1,00,55,519 equity shares of Rs. 10/- each.

5. The Board has approved the discontinuation of the Company's Trading Division
in farming industry (Fruits & Vegetables segment) with immediate effect as
since last year, there were no business in Trading Division in Farming industry
– Fruits & Vegetables segment.
The Board meeting commenced at 11.10 A.M and concluded at 1.05 P.M.
Further, pursuant to SEBI (Prohibition of Insider Trading) Regulations, 2015 and as
per the ‘code of Internal procedures and conduct for regulating monitoring and
reporting of trading by insiders’ adopted by the Company, the Trading Window for the
Directors and designated employees of Company was closed from July 01, 2026 and it
will be opened on August 08, 2026.

Independent Auditor's Review Report on the Interim Standalone Unaudited Financial Results of the
Company pursuant to the Regulation 33 of the Securities and Exchange Board of India (Listing Obligations
and Disclosure Requirements) Regulations, 2015, as amended

Diamines and Chemicals Limited
1. We have reviewed the accompanying Statement of Standalone Unaudited Financial Results of Diamines
and Chemicals Limited ("the Company") for the quarter ended June 30, 2026 ("the Statement"), being
submitted by the Company pursuant to the requirement of Regulation 33 of the Securities and Exchange
Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended (the
"Listing Regulations").
2. The Company's management is responsible for the preparation of the Statement in accordance with the
recognition and measurement principles laid down in Indian Accounting Standard ("Ind AS") 34 "Interim
Financial Reporting" prescribed under section 133 of the Companies Act, 2013 as amended, read with
relevant rules issued thereunder and other accounting principles generally accepted in India and in
compliance with Regulation 33 of the Listing Regulations. The Statement has been approved by the
Company's Board of Directors. Our responsibility is to express a conclusion on the Statement based on
our review.
3. We conducted our review of the Statement in accordance with the Standard on Review Engagements
(SRE) 2410 "Review of Interim Financial Information Performed by the Independent Auditor of the
Entity", issued by the Institute of Chartered Accountants of India ("ICAI"). This Standard requires that
we plan and perform the review to obtain moderate assurance as to whether the Statement is free of
material misstatement. A review of interim financial information consists of making inquiries, primarily
of the company's personnel responsible for financial and accounting matters and applying analytical
procedures and other review procedures. A review is substantially less in scope than an audit conducted
in accordance with Standard on Auditing specified under section 143(10) of the Companies Act, 2013
and consequently does not enable us to obtain assurance that we would become aware of all the
significant matters that might be identified in an audit. Accordingly, we do not express an audit opinion.
4. Based on our review conducted as above, nothing has come to our attention that causes us to believe
that the accompanying Statement prepared in accordance with the recognition and measurement
principles laid down in the aforesaid Ind AS and other accounting principles generally accepted in India
has not disclosed the information required to be disclosed in terms of Regulation 33 of the Listing
Regulations, including the manner in which it is to be disclosed, or that it contains any material
misstatement.
