Dear Sir/Madam,
This is to inform that the 4th Annual General Meeting (“AGM”) of the Company is scheduled to be held
on Friday, August 28, 2026 at 11:00 A.M. (IST) through video conferencing (“VC”)/ other audio-visual
means (“OAVM”).
Pursuant to Regulation 34(1) read with Regulations 30 and 50 of the Securities and Exchange Board of
India (Listing Obligations and Disclosure Requirements) Regulations, 2015, please find enclosed
herewith the Annual Report of the Company for the financial year 2025-26, including the Notice
convening the 4thAGM.
The Annual Report for financial year 2025-26, containing the Notice of 4th AGM, has also been uploaded
on the website of the Company at www.ngel.in and is available for download at the following link:
https://www.ngel.in/public/media_library/1/a2025-26.pdf .
The Company is providing remote e-Voting facility to all its members to cast their votes on all resolutions
as set out in the Notice of the 4th AGM. The remote e-Voting period commences on Tuesday, August 25,
2026 at 09.00 AM (IST) and ends on Thursday, August 27, 2026 at 5.00 PM (IST). During this period,
members holding shares either in physical form or in dematerialized form, as on the cut-off date, i.e.,
Friday, August 21, 2026, shall be entitled to avail the facility of remote e-Voting.
Further, e-Voting facility shall also be available at the AGM for members (as on cut-off date) who have
not cast their votes through remote e-Voting and are otherwise eligible to vote. The details regarding
manner of registering/updating e-mail address, casting vote through remote e-Voting/ e-Voting during
the AGM and attending the AGM through VC/OAVM are provided in the Notice of the 4th AGM.
