No. A34850 SUMMARY OF PROCEEDINGS OF THE 59TH ANNUAL GENERAL MEETING (AGM) OF GRAMEVA LIMITED (FORMERLY BANGALORE FORT FARMS LIMITED) The 59th Annual General Meeting ("AGM") of the Members of Grameva Limited (Formerly known as Bangalore Fort Farms Limited) was held on Wednesday, August 5, 2026, through Video Conferencing ("VC") / Other Audio Visual Means ("OAVM") in compliance with the applicable provisions of the Companies Act, 2013 and the Circulars issued by the Ministry of Corporate Affairs and the Securities and Exchange Board of India. The Meeting commenced at 11:00 A.M. Mr. Deepak Kandoi, Managing Director of the Company, took the Chair and presided over the Meeting. The Company Secretary welcomed the Members and introduced the Directors, Chief Financial Officer, representatives of the Statutory Auditors, Secretarial Auditor and the Scrutinizer who were attending the Meeting through VC/OAVM from their respective locations. The Company Secretary confirmed that the requisite quorum was present and thereupon the Chairman declared the Meeting duly constituted and called the Meeting to order. The Company Secretary informed the Members that the Notice convening the 59th AGM together with the Annual Report for the Financial Year ended March 31, 2026 had already been circulated electronically to all the Members within the prescribed statutory timelines. With the consent of the Members present, the Notice convening the AGM was taken as read. Since the Statutory Auditors' Report and the Secretarial Audit Report did not contain any qualification, reservation, adverse remark or disclaimer, the same were also taken as read. Thereafter, the Chairman, Mr. Deepak Kandoi, addressed the Members and highlighted the Company's performance during the financial year ended March 31, 2026, the successful transition of the Company's name from Bangalore Fort Farms Limited to Grameva Limited, strategic initiatives undertaken for business diversification, future growth plans and the Company's continued commitment towards sound corporate governance, transparency and sustainable value creation. The Chief Financial Officer, Mr. Bidhan Chandra Roy, thereafter presented an overview of the financial performance of the Company for the financial year ended March 31, 2026, highlighting the Company's financial results, operational performance, capital allocation, financial discipline and future financial outlook. The Company Secretary thereafter placed before the Members the following businesses as set out in the Notice convening the 59th Annual General Meeting dated June 9, 2026, for their consideration and approval: Ordinary Business 1. Adoption of the Audited Financial Statements of the Company for the financial year ended March 31, 2026 together with the Reports of the Board of Directors and the Statutory Auditors thereon. 2. Re-appointment of Mr. Mahendra Singh (DIN: 07692374), Director, who retires by rotation and being eligible, offers himself for re-appointment. Special Business 3. Appointment of M/s. SDP & Associates, Chartered Accountants, as Statutory Auditors to fill the casual vacancy caused by the resignation of the previous Statutory Auditors. 4. Appointment of M/s. SDP & Associates, Chartered Accountants, as Statutory Auditors of the Company for a term of five consecutive years. 5. Approval of the borrowing limits of the Company under Section 180(1)(c) of the Companies Act, 2013. 6. Approval under Section 180(1)(a) of the Companies Act, 2013 for creation of mortgage, charge or security on the assets of the Company. 7. Approval for increase in the limits for loans, guarantees, securities and investments under Section 186 of the Companies Act, 2013. 8. Approval for advancing loans, providing guarantees or securities under Section 185 of the Companies Act, 2013. 9. Approval of Related Party Transactions. The Company Secretary informed the Members that pursuant to the provisions of Section 108 of the Companies Act, 2013 read with the applicable Rules made thereunder and Regulation 44 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Company had provided the facility of remote e-voting to the Members. Members who had not cast their votes through remote e- voting were informed that they could cast their votes electronically during the course of the AGM through the e-voting facility provided by the Company. The Chairman thereafter invited the Members who had registered themselves as Speaker Shareholders to express their views, seek clarifications and raise queries on the business items set out in the Notice of the AGM. The Chairman suitably responded to the queries and clarifications sought by the Members and thanked them for their valuable suggestions, observations and continued support. The Members were informed that Ms. Sneha Agarwal, Practising Company Secretary, had been appointed as the Scrutinizer to scrutinize the remote e-voting process as well as the e-voting conducted during the AGM in a fair and transparent manner. The Chairman further informed the Members that the voting results, along with the Scrutinizer's Report, would be declared within the prescribed timelines and would be uploaded on the website of the Company, forwarded to BSE Limited and The Calcutta Stock Exchange Limited, and made available on the website of NSDL. There being no other business to transact, the Meeting concluded with a vote of thanks to the Chair. The Chairman expressed his gratitude to all the Members for their active participation, continued trust and valuable support. The Meeting concluded at 12:07 P.M.
