Pursuant to Regulation 30 read with Schedule III of the SEBI, (Listing Obligations and
Disclosure Requirements) Regulations, 2015 (“LODR Regulations”),we wish to inform you
that the Board of Directors of the Company at their meeting held today i.e., August 05,
2026, has transacted the following business:
1. The Board approved the Unaudited Financial Results of the Company for the quarter
ended 30.06.2026 together with Limited Review Report in terms of Regulation 33 of
SEBI (LODR),2015, in pursuant of which we have enclosed the Unaudited Financial
Results and Limited Review Report thereon as submitted by the Auditors of the
Company.
Board considered and accepted the resignation of Mr. R K Garg(DIN:00644462) from
the office of the Chairman of the Board and Non-Executive Non-Independent Director
of the company with effect from the close of business hours on August 5, 2026. Detailed
information as required under SEBI Listing Regulations, read with SEBI Master Circular
no. HO/49/14/14(7)2025-CFD-POD2/1/3762/2026 dated January 30, 2026 is enclosed as
Annexure B .
. Board has appointed Dr. Rabinarayan Patra (DIN:00917044), Non-Executive
Independent Director as the Chairman of the Board with effect from 06™ August 2026.
The aforesaid meeting commenced at 12.00 Noon and concluded at 3.25 P.M.

LIMITED REVIEW REPORT
Independent Auditor’s Review report on review of interim financial results to the board of
directors of COCHIN MINERALS AND RUTILE LIMITED.
1. We have reviewed the accompanying Statement of Unaudited Financial Results of
COCHIN MINERALS AND RUTILE LIMITED (the “Company”), for the First quarter ended 30t
June, 2026 (the “Statement”), being submitted by the Company pursuant to the requirement of
Regulation 33 oft he SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015,
as amended.
2. This Statement, which is the responsibility of the Company’s Management and approved by
the Company’s Board of Directors, has been prepared in accordance with the recognition and
measurement principles laid down in the Indian Accounting Standard 34 “Interim Financial
Reporting” (“Ind AS 34"), prescribed under Section 133 of the Companies Act, 2013 read with
relevant rules issued thereunder and other accounting principles generally accepted in India.
Our responsibility is to express a conclusion on the Statement based on our review.
3. We conducted our review of the Statement in accordance with the Standard on Review
Engagements (SRE) 2410 ‘Review of Interim Financial Information Performed by the
Independent Auditor of the Entity’, issued by the Institute of Chartered Accountants of India
(ICAI). A review of interim financial information consists of making inquiries, primarily of the
Company’s personnel responsible for financial and accounting matters, and applying analytical
and other review procedures. A review is substantially less in scope than an audit conducted in
accordance with Standards on Auditing specified under section 143(10) of the Companies Act,
2013 and consequently does not enable us to obtain assurance that we would become aware of
