Dear Sir/ Ma’am,
Pursuant to Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and
Disclosure Requirements) Regulations, 2015, we wish to inform you that the Board of Directors of
the Company, at its meeting held today i.e. Wednesday, August 5, 2026, has transacted the following
business matters:
1. Adopted audited special purpose interim condensed financial statements for the quarter ended
June 30, 2026 (“Audited Financial Statements”) along with Audit Report solely in connection
with proposed Buyback of equity shares, in accordance with the provisions of the Companies
Act, 2013 (“the Act”) and applicable regulations of the Securities and Exchange Board of India
(Buyback of Securities) Regulations, 2018, as amended, ("SEBI Buyback Regulations”).
2. Approved the proposal to Buyback of fully paid-up equity shares of face value of INR 1 each
(“Equity Shares”) from the equity shareholders of the Company (other than the promoters, the
promoters group and persons in control of the Company), for an aggregate amount of not
exceeding INR 44,50,00,000 (Rupees Forty Four Crores Fifty Lakhs only) (“Maximum Buyback
Size”), representing 14.87% of the aggregate of the total paid-up share capital and free reserves
of the Company as on June 30, 2026, which is less than 15% of the aggregate of the total paid-
up share capital and free reserves of the Company, based on the Audited Financial Statements
for the quarter ended June 30, 2026, for a price not exceeding INR 750 (Rupees Seven Hundred
Fifty only) per Equity Share ("Maximum Buyback Price") from the open market route through
the stock exchanges where the equity shares of the Company are listed, in accordance with the
provisions of the SEBI Buyback Regulations and the Act and the rules made thereunder
(“Buyback”).
In accordance with Regulation 16(ii) of the SEBI Buyback Regulations, the Company shall not
Buyback equity shares from the promoters, member of promoter group and person in control
of the Company.
The Maximum Buyback Size does not include any expenses or transaction costs incurred or to
be incurred for the Buyback, such as, brokerage, filing fees, advisory fees, intermediaries’ fees,
public announcement publication expenses, printing and dispatch expenses, applicable taxes
such as buyback tax, securities transaction tax, goods and services tax, stamp duty etc. and other
incidental and related expenses.
Subject to the market price of the Equity Shares being equal to the Maximum Buyback Price, the
indicative maximum number of Equity Shares bought back would be 5,93,333 Equity Shares
(“Maximum Buyback Shares”), representing 0.46% of the total paid-up equity share capital of
the Company as of June 30, 2026. If the Equity Shares are bought back at a price below the
Maximum Buyback Price, the actual number of Equity Shares bought back could exceed the
Maximum Buyback Shares, but will always be subject to the Maximum Buyback Size. The
Company shall utilize at least 75% of the amount earmarked as the Maximum Buyback Size for
the Buyback i.e. INR 33,37,50,000 (Rupees Thirty Three Crores Thirty Seven Lakhs Fifty Thousand
Only) (“Minimum Buyback Size”). Based on the Minimum Buyback Size and Maximum Buyback
Price, the Company would purchase a minimum of 4,45,000 Equity Shares.
The Board has constituted a Buyback Committee and has delegated the power to do all such
acts, deeds, matters and things as it may, in its absolute discretion, deem necessary, expedient
or proper in connection with the Buyback.
The Buyback is subject to the approval of the members of the Company by way of a special
resolution and all other applicable statutory/ regulatory approvals.
The detailed disclosure pursuant to Regulation 30 of the SEBI Listing Regulations read with SEBI
Master Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026, is
enclosed herewith as Annexure A.

bought back at a price below the Maximum Buyback Price, the actual number of Equity Shares bought
back could exceed the Maximum Buyback Shares, but will always be subject to the Maximum Buyback
Size.
