The Board noted the action taken by the Stock Exchanges, involving levy of fines, for non-compliance of Corporate Governance requirements prescribed under the SEBI (LODR) Regulations, 2015, pertaining to Composition of the Board of Directors including failure to appoint Independent director and Women director and non-compliance with the constitution of Audit committee, Nomination and Remuneration Committee, Stakeholder Relationship Committee and Risk Management Committee during the Quarter ended 31st March, 2026. The Board while noting the above, advised to send a communication to the Ministry of Coal, being the Administrative Ministry, to appoint requisite number of Independent Directors (including Independent Women Director) on the Board of the Company, in compliance to SEBI (LODR) Regulations, 2015 and other applicable provisions in order to avoid imposition of penalty by stock exchanges in future.
