Annual General Meeting ('AGM') of the Company held on Monday, August 3, 2026 at 2:30 P .M.
(1ST) through video conferencing:
(a) Voting results of the AGM, enclosed as Annexure-A.
(b) Consolidated Scrutinizer's Report pursuant to Section 108 of the Companies Act, 2013 read
with relevant rules, enclosed as Annexure-B.
We are pleased to inform you that all the following resolutions have been approved by members
of the Company:
1. Receipt, consideration and adoption of the audited standalone and consolidated financial
statements of the Company for the financial year ended March 31, 2026 together with the
reports of Board of Directors and of Auditors thereon.
2. Declaration of dividend on equity shares for the financial year ended March 31, 2026 at the
rate of Rs. 24 per fully paid-up equity share of face value of Rs. 5 each; and a pro-rata
dividend at the rate of Rs. 6 per partly paid-up equity share of face value of Rs. 5 each
(paid-up value of Rs. 1.25 per share), on which First and Final Call remains unpaid.
3. Re-appointment of Mr. Gopal Vittal as a director, liable to retire by rotation.

Cost Auditors of the Company for the financial year ending 2026-27.
6. Re-appointment of Mr. Sunil Bharti Mittal as Chairman for a further period of five (5) years
from October 1, 2026 to September 30, 2031.

(5) consecutive years from August 4, 2026 to August 3, 2031.
