Vadodara, August 04, 2026: Viviana Power Tech Limited (NSE: VIVIANA), a leading power
infrastructure and EPC solutions provider, announced its audited financial results for the
quarter ended June 30, 2026. The financial results were approved by the Company's Board
of Directors at its meeting held today, August 04, 2026.

Business Update
• Board approved the proposed disinvestment of the Company's entire
shareholding in two subsidiaries – 90% stake in Viviana Life Spaces Private Limited
and 75% stake in Aarsh Transformers Private Limited.
• The proposed transaction is part of the Company's strategic restructuring and long-
term business realignment, subject to definitive agreements, regulatory approvals,
and customary closing conditions.
• Upon completion of the transaction, both Viviana Life Spaces Private Limited and
Aarsh Transformers Private Limited will cease to be subsidiaries of the Company.
Management Perspective & Outlook
Commenting on the disinvestment, Mr. Nikesh Choksi, Chairman & Managing Director,
Viviana Power Tech Limited, said:
"This strategic restructuring reflects our long-term vision of building a more focused, agile
and scalable organization. Over the years, Viviana Power Tech has expanded across
multiple business verticals, and each has now reached a stage where it requires dedicated
management focus, independent capital allocation and a distinct growth strategy. We

The proposed disinvestment allows Viviana Power Tech to concentrate entirely on its core
power infrastructure business, including EPC projects, power transmission and distribution,

Systems (BESS), and other emerging opportunities across India's evolving energy
landscape. By integrating transformer manufacturing directly within the Company, we aim
to strengthen operational control, enhance execution capabilities and create greater
synergies across our value chain.

structure, optimize capital deployment and strengthen management accountability. It also
provides greater strategic flexibility for each business to pursue sector-specific growth
opportunities, partnerships and capital allocation decisions while enabling investors to
