Summary of the Proceedings of the 33rd Annual General Meeting
The 33rd Annual General Meeting (AGM) of the Members of Dollar Industries Limited was held on
Tuesday, the 4th day of August, 2026 through Video Conferencing / Other Audio-Visual Means (VC /
OAVM) in compliance with the applicable circulars issued by the Ministry of Corporate Affairs and the
Securities and Exchange Board of India. The Meeting commenced at 11:30 A.M (IST) and concluded at
1:03 P.M. (IST).
Mr. Vinod Kumar Gupta, Chairman & Managing Director of the Company presided over the Meeting.
The requisite quorum being present, the Meeting was called to order. Total of 110 members (including
the Promoter Directors) and 5 Independent Directors attended the AGM. The Chairman then addressed
the shareholders by giving his introductory speech.
Thereafter, the Chairman briefed the members on the financial performance of the Company for F.Y.
2025-26 including notable developments made by the Company in the reporting financial year. The
Notice calling the 33rd AGM was taken as read with the permission of the Members present. The
Members were informed that there were no observation or other remark made by the Statutory Auditors in
their Audit Report on the Financial Statements for the financial year ended 31st March, 2026. On request
of the Chairman, the Auditors Report was read out by the Company Secretary.
The queries raised by the shareholders were addressed by Chief Financial Officer (CFO) on request by
the Chairman to their satisfaction.
The Company Secretary informed the Members present that pursuant to the provision of the Companies
Act, 2013 read with the Rules framed thereunder and Regulation 44 of the SEBI (Listing Obligations and
Disclosure Requirements) Regulations, 2015, the Company had engaged the services of Central
Depository Services Limited (CDSL) as the authorized agency to provide remote e-voting facilities & e-
voting facilities during the AGM. The remote e-voting facility commenced on Saturday, 1st August,
2026 to Monday, 3rd August, 2026.
The Chairman informed that the following businesses as set out in the AGM Notice of 23rd May, 2026
were voted by means of remote e-voting :-
ORDINARY BUSINESS :
1. As an Ordinary Resolution: Adoption of the Standalone & Consolidated Financial Statement of the
Company including Audited Balance Sheet as at 31st March, 2026, Audited statement of Profit &
Loss and the Cash Flow Statement together with the Notes to Accounts forming part of the financial
statements for the year ended on that date along with Report of Directors' and Auditors' thereon.
2. As an Ordinary Resolution: Declaration of dividend on Equity Shares for the financial year ended
31st March, 2026.
3. As an Ordinary Resolution: Appointment of a Director in place of Mr. Bajrang Kumar Gupta
(DIN: 01783906), retired by rotation and, being eligible, offered himself for re-appointment.
SPECIAL BUSINESS:
4. As a Special Resolution: Re-appointment of Mr. Vinod Kumar Gupta (DIN: 00877949) as the
Managing Director.
5. As a Special Resolution: Re-appointment of Mr. Binay Kumar Gupta (DIN: 01982889) as the
Joint Managing Director.
6. As a Special Resolution: Re-appointment of Mr. Bajrang Kumar Gupta (DIN: 01783906) as a
Whole-time Director.
7. As a Special Resolution: Re-appointment of Mr. Krishan Kumar Gupta (DIN: 01982914) as a
Whole-time Director.
8. As an Ordinary Resolution: Ratification of remuneration of the Cost Auditors for the
financial year 2026-27.
The Company Secretary then briefed the e-voting process and announced that the scrutinizer would
submit the Consolidated Voting results after taking into account the remote e-voting and e-voting during
the AGM and the same would be placed on the Company’s website and would be forwarded to the Stock
Exchanges and to depositories for displaying on their respective websites within the prescribed time. He
further informed the members present that the e-voting facility was kept open for the next 15 (fifteen)
minutes from closure of the meeting to enable the Members to cast their vote.
The Chairman thanked the Shareholders, for attending and participating in the Meeting and also the
employees of the Company and other stakeholders for their continued support.
Since there was no other business to transact, the meeting concluded at 1:03 P.M. with a vote of thanks to
the Chair.
