Ref: Regulation 44 of the SEBI (Listing Obligations and Disclosure Requirements)
Regulations, 2015 and Section 108 of the Companies Act, 2013 read with
Rules and our earlier communication dated 10th July 2026 intimating about
the 85th Annual General Meeting of the Company.
We wish to inform you that the 85th Annual General Meeting of the Company (AGM)
was held on Monday, the 3rd August 2025 at 10.30 a.m. (1ST) through Video
Conferencing/Other Audio-Visual Means ("VC/OAVM") in accordance with the
circular(s) issued by the Ministry of Corporate Affairs and Securities and Exchange
Board of India (SEBI).
The Company had appointed M/s A.K. Jain & Associates, Company Secretaries in
practice, Chennai, as the Scrutinizer to scrutinize the entire e-voting process. As per
the Scrutinizers' Report, all resolutions proposed in the Notice of 85th AGM have
been passed by the Members with requisite majority.
We enclose herewith the details of voting results along with the consolidated
Scrutinizers' Report on remote e-voting and e-voting at the AGM.
A copy of the same is also being placed on the website of the Company at
www.kcp.co.in.

Monday, the o3rd August, 2026 at 10.30 AM (1ST) through Video Conferencing ("VC")/ Other
Audio Visual Means ("OAVM").
Dear Madam,
Sub: Consolidated Scrutinizer's Report on remote e-voting and e-voting during the AGM
conducted pursuant to the provisions of Section 108 of the Companies Act, 2013
read with Rule 20 of the Companies {Management and Administration) Rules, 2014
including any statutory modifications thereof, for the ssth Annual General Meeting
of THE K C P LIMITED held on Monday, 03rd August, 2026 at 10.30 AM {1ST) through
Video Conferencing ('VC') Other Audio Visual Means {'OAVM').
We, M/s. A K JAIN & ASSOCIATES, Practising Company Secretaries, represented by Mr. BALU
SRIDHAR, Partner, had been appointed as the Scrutinizer by the Board of Directors of THE K
C P LIMITED pursuant to Section 108 of the Companies Act, 2013 ("the Act") read with Rule
20 of the Companies (Management and Administration) Rules, 2014, as amended, to
conduct the remote e-voting process in respect of the below mentioned resolutions
proposed at the 85th Annual General Meeting ("AGM") of THE K C P LIMITED on Monday,
03rd August, 2026 at 10.30 AM {1ST) through VC / OAVM.
We were also appointed as Scrutinizer to scrutinize the venue e-voting conducted during
the AGM.
The Notice dated 28th May, 2026, as confirmed by the Company was sent to the
registered with the Company I Depositories, in compliance with General Circular
No.03I2025 dated September 22, 2025 read with General Circulars No.20I2020 dated May
05, 2020 issued by Ministry of Corporate Affair {MCA).
The Company had availed the e-voting facility offered by National Securities Depository
Limited {NSDL) for conducting remote e-voting and e-voting during the AGM by the
Shareholders of the Company.
The period for remote e-voting remained open from Friday, 3Pt July, 2026 {9.00 A.M. {1ST))
to Sunday, 02"d August, 2026 (5.00 P.M. {1ST)) as mentioned in the Notice convening the
AGM.
The Company had provided e-voting facility to the shareholders who attended the AGM
through VC I OAVM and who had not cast their vote in remote e-voting.
The shareholders of the Company holding shares as on the "cut-off" date i.e Monday, 27th
July, 2026 were entitled to vote on the resolutions as contained in the Notice of the 85th
AGM.
As prescribed in the applicable Circulars and in clause (v) of sub rule 4 of the Rule 20 of the
Companies (Management and Administration) Rules, 2014, the Company released an
advertisement in English language in 'Business Line' on Sunday, 12th July, 2026 and in Tamil
language in 'Dinamani' on Saturday 11th July, 2026.The notice published in the newspaper
carried the required information as specified in Sub Rule 4{v)(a) to (h) of the said Rule 20.
In addition to sending Notice of the AGM to the shareholders through electronic mode, the
Company has also made available the full Annual Report on the website of the Company
viz., www.kcp.co.in and also on the websites of the BSE and NSE.
After the closure of voting during the AGM, the report on e-voting done during the AGM
and the votes cast under remote e-voting facility prior to AGM were unblocked by us at
12.20 P.M. on 03rd August, 2026 in the presence of Ms. Dharsha and Ms. Pavithra who are
not in the employment of the Company.
Based on the data downloaded from the official website of NSDL, we submit the
consolidated report as under on the result of the remote e-voting prior to AGM and e-voting
during the AGM in respect of said resolutions;
