The total liability of the company exceeds its total assets. The company has no business of its own and at present there are no other cash flows. Thus, the company ceases to be a "Going Concern" and accordingly these financial statements have been prepared on the basis that the company does not continue to be a "Going Concern"and therefore all assets that have being valued at their realisation value where lower than cost and all known liabilities have been fully provided for and recorded in the financial statements on the basis of best estimate of the Management. 3 The Company entered into Memorandum of Undertaking (MOU) on 26th September, 2025 with M/s Uninor Infrabuild Pvt Ltd for purchase of property for consideration of Rs. 30 Crores and paid a sum of Rs. 5.05 Crores as advance payment Consequent to the cancellation of MOU dated 17th March 2026, the amount became refundable to the company within 90 days of the cancellation of MOU, i.e. before 14th June, 2026. As at 30th June, 2026, the amount was overdue and subsequent to the quarter, the company received Rs. 1 Crore on 3rd July 2026. Considering the delay in recovery and uncertainty, regarding realisation of the remaining amount, the company provided an impairment loss of Rs. 4.05 Crores during the quarter ended 30th June, 2026. The Company continues to pursue the recovery of the outstanding amount and is confident of recovering the same. 4 The Company is subject to Income Tax under section 115BAA of the Income Tax Act 1961 and tax provision is recognised accordingly. 5 The Company's main object is only real estate development and related activities and hence there are no reportable segments as per In As 108 - Operating segments. 6 The previous period's figures have been regrouped or rearranged wherever necessary.
