August 04, 2026 BSE Limited National Stock Exchange of India Limited Scrip Code: 543942, 975790, 959644, Symbol: UTKARSHBNK 976203 Dear Sir/Madam, Sub: Summary of Proceedings of the Tenth (10th) Annual General Meeting (“AGM”) of the Members of Utkarsh Small Finance Bank Limited (“Bank”) held on Tuesday, August 04, 2026 We wish to inform that the 10th AGM of the Members of the Bank was held today i.e. Tuesday, August 04, 2026 at 2:30 p.m. (IST) through Video Conferencing (“VC”) or Other Audio Visual Means (“OAVM”) in compliance with the applicable provisions of the Companies Act, 2013 and rules made thereunder read with the latest applicable circulars issued by the Ministry of Corporate Affairs and Securities and Exchange Board of India (“SEBI”), to transact the businesses specified in the said AGM Notice. Pursuant to Regulation 30 read with Schedule III of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI Listing Regulations”), we enclose herewith the summary of Proceedings of the 10th AGM of the Bank. Please be informed that pursuant to Regulation 44 of the SEBI Listing Regulations, the Bank shall disclose the Scrutinizer’s report along with the combined results of e-voting to the stock exchanges separately. For Utkarsh Small Finance Bank Limited Muthiah Ganapathy Company Secretary & Compliance Officer Encl: a/a Summary of Proceedings of the Tenth (10th) Annual General Meeting (“AGM”) of the Members of Utkarsh Small Finance Bank Limited (“Bank”) held on August 04, 2026 The 10th AGM of the Members of the Bank was held on Tuesday, August 04, 2026 at 02.30 p.m. (IST) through Video Conferencing (“VC”) or Other Audio Visual Means (“OAVM”). The meeting was held in compliance with the relevant provisions of the Companies Act, 2013 and SEBI Listing Regulations, 2015, read with relevant circulars issued by MCA and SEBI in this regard. 1. Dr. Kshatrapati Shivaji – Part Time Chairman and Independent Director, Chaired the meeting and upon confirmation of requisite quorum being present, conducted the proceedings of the meeting. 2. Majority of the Members of the Board were present, which included Ms. Gauri Shah – Chairperson of the Audit Committee and Stakeholders' Relationship Committee and Mr. Parveen Kumar Gupta – Chairman of the Nomination and Remuneration Committee. The representatives of the Joint Statutory Auditors and Secretarial Auditors for the financial year 2025-26 were also present. 3. As per Companies Act, 2013 and SEBI Listing Regulations, remote e-voting facility was made available from August 01, 2026 to August 03, 2026 to the Members to cast their votes on each of the resolutions as set out in the Notice of AGM. The said facility was also made available to the Members during the AGM and for 30 minutes after the conclusion of AGM. 4. Mr. Avinash Bagul (FCS: 5578, COP:19862), Partner of BNP & Associates was appointed as scrutinizer to scrutinize the e-voting process in a fair and transparent manner. 5. Mr. Muthiah Ganapathy, Company Secretary informed the Members that there were no qualifications, observations or adverse remarks in the Joint Statutory Auditor’s Report and Secretarial Auditors’ Report on the functioning of the Bank and the same was taken as read pursuant to the applicable provisions of the Companies Act, 2013 and the Secretarial Standards. He further informed that with the permission of the Members, the Notice of the AGM was also taken as read. 6. Mr. Muthiah Ganapathy briefed the Members on the following resolutions set out in the Notice of the AGM: Sr. No. Particulars of Resolutions Ordinary Business i. To receive, consider and adopt the Audited Financial Statements of the Bank for the financial year ended March 31, 2026 together with the reports of the Board of Directors and the Auditors thereon. ii. To re-appoint Dr. Ram Jass Yadav (DIN: 08911900) as a Director, liable to retire by rotation. Special Business iii. To appoint Mr. Anjani Srivastava (DIN: 07594445) as an Non-Executive Non- Independent Director of the Bank iv. To re-appoint Mr. Parveen Kumar Gupta (DIN: 02895343) as an Independent Director of the Bank. v. To appoint Mr. Sarjukumar Pravin Simaria (DIN: 02436025) as Whole-time Director of the Bank and payment of remuneration to him. 7. The Chairman briefed that the microfinance sector witnessed significant challenges during the year which tested the resilience, discipline and character of the Bank. The Bank consciously chose long-term sustainability over short-term growth and adopted a conservative approach towards lending, enhanced risk management practices, strengthened collections and proactively addressed portfolio stress. As a result, the latter part of the year witnessed early signs of improvement in collection efficiency, asset quality and business momentum, providing confidence that the corrective measures undertaken are delivering results. 8. The Chairman then invited Mr. Govind Singh, Managing Director & CEO, to address the Members. 9. Mr. Govind Singh, Managing Director & CEO, addressed the Members with a brief speech wherein he apprised them, inter alia, Bank's performance during FY 2025-26, the measures undertaken to strengthen asset quality and the balance sheet, progress in portfolio diversification and deposit mobilisation, successful completion of the rights issue, and the Bank's focus on technology-led transformation, operational efficiency and sustainable growth. 10. Mr. Govind Singh then invited Members to express their views/ask questions pertaining to the Annual Financial Statements, the Annual Report for FY 2025-26 and matters related thereto. 11. Some of the Members attending the meeting through VC, expressed their views / sought clarifications on various aspects. After all the queries were raised, Mr. Govind Singh and Mr. Sarju Simaria gave detailed responses to the said queries. 12. The Chairman then stated that the results of the remote e-voting and e-voting during the 10th AGM together with the Scrutinizer’s report, will be disclosed to the stock exchanges and displayed on the website of the Bank within two (2) working days from the conclusion of the AGM and on the e-voting website of NSDL. Additionally, the results will also be placed on the notice board at the Registered Office of the Bank. 13. The Chairman informed that the resolutions, as set forth in the Notice, shall be deemed to be passed today i.e. Tuesday, August 04, 2026 subject to receipt of requisite number of votes in favour. 14. The Chairman thanked the members for their continued support and for attending and participating in the 10th AGM of the Bank and concluded the meeting at 03.40 p.m. (IST). He then thanked all the Directors for joining the meeting. Thereafter, e-voting facility was kept open for the next 30 minutes for those members who participated in AGM and did not vote earlier.
