Sec/Coat/0046/FY 2026-27 Date: 04.08.2026 The Secretary The Manager BSE Limited National Stock Exchange of India Limited New Trading Wing, Exchange Plaza, C-1, Block “G” Mumbai- 400001 Mumbai- 400051 Scrip Code: 539046 SYMBOL: MANAKCOAT Dear Sir/Madam, Subject: Intimation of Resolution Passed by Circulation – Lapse of Share Warrants and Forfeiture of Application Money Dear Sir/Madam, Pursuant to Regulation 30 read with Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (SEBI LODR Regulations) and other applicable laws, we wish to inform you that the Board of Directors of Manaksia Coated Metals & Industries Limited, by way of a Resolution passed by Circulation on 4th August, 2026 (circulated on July 31, 2026 and consent received of all Directors by August 04, 2026), has approved the lapse of 20,00,000 Share Warrants issued on 31.01.2025 to AIO Growth Capital Fund SPC, owing to the failure of the warrant holder to remit the balance 75% of the warrant subscription amount within the stipulated period of eighteen (18) months from the date of allotment, in accordance with the terms and conditions governing the issue of the said warrants. Accordingly, the aforesaid Share Warrants have lapsed and the application money representing 25% of the aggregate warrant subscription amount, amounting to ₹3,25,00,000/- (Rupees Three Crores Twenty-Five Lakhs Only), received by the Company at the time of subscription, stands forfeited in accordance with the terms of issue. The aforesaid lapse of warrants and forfeiture of the application money shall not result in any change in the issued, subscribed and paid-up equity share capital of the Company, as no equity shares have been allotted against the said warrants.
