Further, OCDs aggregating to USD 7 million have been converted into ordinary equity shares till date, including the present conversion of USD 1.5 million. Accordingly, the shareholding of the Company in Exicom B.V., stands diluted from 92.23% to 90.29%, pursuant to the aforesaid conversion. However, Exicom B.V. shall continue to remain a material subsidiary of the Company in terms of the SEBI Listing Regulations. The details required under Regulation 30 of the SEBI Listing Regulations read with SEBI Master Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026, are enclosed as ‘Annexure- A’. Pursuant to the approvals granted earlier, the Board of Directors of Exicom B.V., has further approved the conversion of OCDs aggregating to USD 1.5 million into ordinary equity shares, resulting in the dilution of the Company’s shareholding in Exicom B.V. 2. quantitative and/ or qualitative effect of Consequent to the aforesaid conversion, the Company’s restructuring; shareholding in Exicom B.V. stands diluted from 92.23% to 90.29%.
