Subject: Intimation of dilution of stake of the Company in the Subsidiary of the Company
Dear Sir/Madam,
Pursuant to Regulation 30 of the SEBI Listing Regulations and in continuation to our earlier intimations dated
November 10, 2025, February 5, 2026 and April 22, 2026, we wish to inform you that the Board of Directors of
Exicom Power Solutions B.V., Netherlands (“Exicom B.V.”), a material subsidiary of the Company, has approved the
conversion of Optionally Convertible Debentures ("OCDs") aggregating to USD 1.5 million (approximately EUR 1.31
million) into ordinary equity shares having a nominal value of EUR 1 (Euro One) each, in accordance with the terms
of the underlying agreements and subject to completion of the requisite formalities under applicable Dutch laws.
Further, OCDs aggregating to USD 7 million have been converted into ordinary equity shares till date, including the
present conversion of USD 1.5 million.
Accordingly, the shareholding of the Company in Exicom B.V., stands diluted from 92.23% to 90.29%, pursuant to
the aforesaid conversion. However, Exicom B.V. shall continue to remain a material subsidiary of the Company in
terms of the SEBI Listing Regulations.
The details required under Regulation 30 of the SEBI Listing Regulations read with SEBI Master Circular No.
HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026, are enclosed as ‘Annexure- A’.

The details as required under SEBI Master Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January
30, 2026, are as under:

Pursuant to the approvals granted earlier, the Board of
Directors of Exicom B.V., has further approved the conversion
of OCDs aggregating to USD 1.5 million into ordinary equity
shares, resulting in the dilution of the Company’s shareholding
in Exicom B.V.

Exicom B.V. shall continue to remain a material subsidiary of
